Handwerker Service
Affiliate Program Terms

Thank you for considering the Handwerker
Service affiliate program. Our affiliates are very important to us. This
agreement is designed with you in mind, as well as protecting you, Handwerker
Service and our customers. Please read thoroughly. If you have any questions,

Affiliate
Agreement

This agreement describes the
terms and conditions for participation in the Handwerker Service affiliate
program. In this agreement, the term "Affiliate" refers to you (the
applicant). In this agreement, “Handwerker Service” refers to RL Handwerker
Service e.U. (incorporated under the laws of the Republic of Austria and having
its registered seat at Rokitanskygasse 28/7, 1170 Vienna), with whom you are
entering this agreement. By applying to the Handwerker Service affiliate
program you are confirming that you have read the agreement and agree to the
terms and conditions.

Applying
for our Program

You are applying for our Affiliate Program right now.
We reserve the right to decline or remove enrollment from our program at our
discretion. As soon as your application is accepted, you can start sharing your
affiliate link and earning affiliate commissions.

Commissions

Commissions will only be paid
on sales that are made when the customer clicks through qualified, correctly
structured Affiliate links. Properly coded links are the sole responsibility of
the Affiliate. Commissions can be viewed on the PartnerNet Dashboard.



The Affiliate Program
commission structure is based on a revenue share (Rev-Share). It means an
Affiliate gets a share of the commission Handwerker Service receives from the
service providers (professionals) for each completed (paid) booking.



The following scale shall be
used to calculate Affiliate Commission Percentage. Commissions are based on net
booking value.





Handwerker Service reserves the
right to change the commission scale. In such a case, a notice shall be posted
on Handwerker-service.at, and an e-mail shall be sent to the Affiliate, based
on the e-mail address provided by the Affiliate through the Affiliate Partner
Registration Form. Notification shall occur at least 15 days prior to any
change. Handwerker Service shall have no responsibility to ensure that
communications about changes in the program are received by the Affiliate. In
case of disagreement, the Affiliate’s sole recourse shall be to end its
participation in the program.

Using
the PartnerNet Dashboard

As an Affiliate, you will get access to PartnerNet
Dashboard to manage your affiliate account details and earnings. It’s unique to
each partner, and it contains everything that you need to promote
handwerker-service.at, including: affiliate link, one-click sharing to social
media, banner ads, and more sharing resources. Your progress will be reflected
in real-time.

Payment

An Affiliate can request a payment when their balance
reaches a minimum balance of € 50.  Payments can be requested every 30 days.
Payment processing can take up to 30 days from the request date. Payments will
generally be paid out via Bank Transfer (SWIFT) or Gift Card, whichever an
Affiliate prefers.

Usage
and Obligations

Affiliates are permitted to use the Handwerker Service
brand and marketing resources available in the PartnerNet Dashboard. Logos and
other assets cannot be modified. The Affiliate does not gain any trademark,
copyright or any other rights to these materials.

The Affiliate will never imply that they are acting on
behalf of Handwerker Service. The Affiliate will never bid for advertisements
that compete with Handwerker Service.

The Affiliate will never represent themselves,
Handwerker Service or their relationship with Handwerker Service in a false or
misleading way.

The Affiliate will not engage in the distribution of an unsolicited
bulk email (spam) mentioning or referencing Handwerker Service.

Disclosures

When posting or sharing your link, you should make it
known to your readers and followers that you will receive compensation if they
buy a service via your link. This declaration should be clear and conspicuous.

Confidential
Information

Parties understand and agree that in the performance
of this Agreement, each Party may have access to or may be exposed to, directly
or indirectly, confidential and sensitive information of the other Party (the
"Confidential Information"). Confidential Information includes
Customer Data, transaction volume, marketing and business plans, business,
financial, technical and operational information, usage statistics, ranking
data, information in respect of rate, pricing policies, conversion data and
volume of click-troughs, and other Affiliate related statistics and personal
data of Customers.

Each Party agrees to use commercially reasonable
efforts to safeguard the confidentiality and privacy of all Confidential Data
and to protect it from unauthorized use or release. Parties agree to comply
with applicable laws on the processing of personal data and the protection of
privacy.

Term
and termination

Either party has the right to
terminate the agreement immediately without prior notice.



If the Affiliate terminates the
agreement, no further commissions from Handwerker Service will be paid for any
past or future customer transactions.



If Handwerker Service chooses to terminate the agreement, any
balance greater than € 25 will be paid to the affiliate within 60 days of
termination. Balances that are smaller than € 25 will be forfeited.

Governing
Law and Jurisdiction

This Agreement shall be governed, construed, and enforced in
accordance with the laws of the Republic of Austria, without regard to its
conflict of laws rules.



The Parties will in any event
attempt to settle their disputes in an amicable manner out of court by first
conducting good faith discussions and negotiations.



Any
disputes arising out or in connection with this Agreement shall exclusively be
submitted to and dealt with by the competent court in Vienna, without regard to
the conflict of laws rules.

Modification

We may modify any of the terms and conditions within
this Agreement at any time and at our sole discretion. These modifications may
include, but not limited to changes in the scope of available commissions,
commission schedules, payment procedures and Affiliate Program rules.
