Partner Agreement
This agreement describes the terms and conditions for participation in the Lori Wall Beds partner program. In this agreement, the term "Partner" refers to you (the applicant). In this agreement, “Lori Wall Beds” refers to Homestead Furnishings, LLC., a Texas Limited Liability Corporation, with whom you are entering this agreement.
By applying to the Lori Wall Beds partner program, you are confirming that you have read the agreement and agree to the terms and conditions.Deal Structure
The Partner formally agrees to adhere to the specific "deal structure" detailed in email communications from official Lori Wall Beds staff with @loriwallbeds.com email addresses. If a complimentary or discounted product is being provided to the Partner as part of the deal structure, then the Partner is legally bound to complete all promotional posts within 30 days of package receipt date as postmarked. If the Partner was provided a commission-only deal structure, then the Partner is legally bound to complete all promotional posts within 30 days of joining this program. All promotional posts must stay active, published, and clearly visible for a minimum of 365 days. Promotional posts on social media channels must include the official @loriwallbeds social media account tagged in the post photo and caption. Failure to comply with the deal structure, complete the promotional posts within the 30-day timeframe (unless otherwise noted), and/or keep the posts active for 365 days will result in the Partner's termination from the partner program, forfeiture of all earnings by the Partner, and explicit obligation by the Partner to repay Lori Wall Beds in full for any complimentary or discounted products provided.
Commissions
This section is only applicable to partners with commission included in their deal structure.For a sale to generate a commission to a Partner, the customer must complete the online order and remit full payment for the product. Commissions will only be paid on sales that are made when the customer clicks through qualified, correctly structured Partner links (30-day cookie) or when the customer uses the Partner's coupon code. Properly coded links are the sole responsibility of the partner. Commissions can be viewed on the Partner Dashboard.
Payment
This section is only applicable to partners with commission included in their deal structure.A Partner can request a payment when their balance reaches a minimum balance of $100 USD. Payments can be requested every 30 days. Payment processing can take up to 30 days from the request date. Payments will generally be paid out via PayPal.
Refunds
This section is only applicable to partners with commission included in their deal structure.In the event a customer requests a refund for a transaction for which the Partner has earned commissions, any commissions earned on the refund amount will be deducted from the Partner's balance.
Usage and Obligations
Partners are permitted to use the Lori Wall Beds brand and marketing resources available in the Partners section of the Lori Wall Beds application. Logos and other assets cannot be modified. The Partner does not gain any trademark, copyright or any other rights to these materials. The Partner will never imply that they are acting on behalf of Lori Wall Beds and will never advertise Lori Wall Beds products directly. The Partner will never bid for advertisements that compete with Lori Wall Beds. The Partner will never represent themselves, Lori Wall Beds or their relationship with Lori Wall Beds in a false or misleading way. The Partner will not engage in the distribution of an unsolicited bulk email (spam) mentioning or referencing Lori Wall Beds. The Partner grants Lori Wall Beds the right to showcase all photos and/or videos created through this partnership on loriwallbeds.com or across @loriwallbeds social media channels.
Term and Termination
Either party has the right to terminate the agreement immediately without prior notice. If the Partner terminates the agreement, no further commissions from Lori Wall Beds will be paid for any past or future customer transactions. If Lori Wall Beds chooses to terminate the agreement, any balance greater than $50 USD will be paid to the partner within 60 days of termination. Balances that are smaller than $50 will be forfeited. If the Partner is on a recurring program, Lori Wall Beds will not be obligated for any future payments after termination.
Governing Law
This Agreement shall be governed, construed, and enforced in accordance with the laws of the State of Texas, without regard to its conflict of laws rules.
Arbitration
All claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in the State of Texas. An award of arbitration may be confirmed in a court of competent jurisdiction.
Modification
We may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to changes in the scope of available commissions, commission schedules, payment procedures and Partner Program rules.
