HOT HEAD™ AFFILIATE PROGRAM AGREEMENT

PLEASE READ THIS AGREEMENT CAREFULLY.

This Affiliate Program Agreement (“Agreement”) is a legal agreement between you (“Affiliate”) and Thermal Hair Care, Inc., owner of the Hot Head™ brand (“Company,” “we,” “us,” or “our”).

By applying to or participating in the Hot Head™ Affiliate Program, you acknowledge that you have read, understood, and agree to comply with the terms and conditions of this Agreement.

1. Affiliate Program

This Agreement governs participation in the Hot Head™ Affiliate Program, operated by Thermal Hair Care, Inc.

Participation in the program allows approved affiliates to earn commissions by referring qualifying customers to our website through approved affiliate links and/or promotional codes.

Acceptance into the program is at the discretion of Thermal Hair Care, Inc.

2. Affiliate Links and Promotional Codes

Approved affiliates may be provided with a unique affiliate tracking link and/or promotional code.

These links and codes are used to attribute qualifying referred purchases to the appropriate affiliate.

To receive commission, a qualifying purchase must be successfully attributed to the affiliate through the tracking system, an approved promotional code, or another attribution method recognized by Thermal Hair Care, Inc.

Affiliates are responsible for sharing their links and promotional codes accurately.

Affiliate links and promotional codes may not be used in a misleading, deceptive, unauthorized, or fraudulent manner.

3. Commissions

Affiliates earn 10% commission on qualifying referred sales properly attributed to their affiliate account.

Commission is calculated on eligible product revenue after discounts and excludes:

• Shipping charges
• Taxes
• Returned or refunded merchandise
• Canceled orders
• Chargebacks
• Fraudulent transactions
• Duplicate transactions
• Self-referrals unless specifically approved
• Other transactions determined to be ineligible under this Agreement

If an order is returned, refunded, canceled, charged back, or otherwise becomes ineligible, any associated commission may be reversed or removed from the affiliate’s account.

Thermal Hair Care, Inc. may modify the commission rate or structure of the Affiliate Program upon reasonable notice to affiliates. Any changes will apply prospectively and will not reduce commissions already earned and approved prior to the effective date of the change.

4. Tracking and Reporting

Affiliate activity, referrals, commissions, and payments are tracked through Affiliatly, a third-party affiliate management platform.

Affiliates will have access to an individual dashboard where they can view available referral and commission information.

Affiliate tracking relies on technology and may occasionally be affected by browser settings, cookies, privacy controls, incorrect links, customer behavior, or other factors outside the Company’s control.

Thermal Hair Care, Inc. will make reasonable efforts to maintain accurate records but does not guarantee that every visit or transaction will be successfully tracked.

The Company’s records will be used to determine final commission eligibility in the event of a tracking discrepancy.

5. Payments

Approved affiliate commissions are paid monthly via the affiliate’s selected payment method—PayPal, Venmo, or Zelle—once the affiliate’s eligible commission balance reaches the $25 minimum payout threshold.

Commissions become eligible for payout after the applicable 30-day return period has passed. Payments are generally issued on or around the 15th of each month.

If an affiliate has not reached the $25 minimum payout threshold, the eligible balance will carry forward until the minimum threshold is reached.

Affiliates are responsible for providing and maintaining accurate payment information. Thermal Hair Care, Inc. is not responsible for payment delays resulting from incorrect account information, payment-provider restrictions, or circumstances outside the Company’s reasonable control.

6. Order Fulfillment and Customer Service

Thermal Hair Care, Inc. is responsible for processing, fulfilling, shipping, and providing customer service for orders placed through the Company’s website.

Affiliates are not authorized to:

• Collect payments on behalf of Thermal Hair Care, Inc.
• Enter into agreements on behalf of the Company
• Make promises or guarantees on behalf of the Company
• Represent themselves as an authorized distributor, employee, or representative of Thermal Hair Care, Inc. unless separately authorized in writing

Participation in the Affiliate Program does not authorize an affiliate to resell Hot Head™ products as a distributor or wholesale account.

7. Promotion, Disclosures and Brand Guidelines

Affiliates are encouraged to promote Hot Head™ authentically through websites, blogs, social media platforms, email lists, and other appropriate marketing channels.

Affiliate Disclosures

Affiliates must clearly disclose their relationship with Hot Head™ whenever sharing affiliate links, promotional codes, gifted products, or other compensated content.

Disclosures must be clear, conspicuous, easy for the audience to notice and understand, and made in accordance with applicable advertising and endorsement requirements.

Accurate Product Representation

Affiliates must represent Hot Head™ products truthfully and accurately.

Affiliates may discuss Hot Head™ as part of a healthy hair-care routine and may describe appropriate product benefits such as:

• Helping deep conditioner absorb more effectively
• Providing gentle warmth and scalp stimulation
• Supporting softer, smoother, and more manageable hair
• Helping reduce breakage
• Supporting length retention
• Making at-home deep conditioning easier and more convenient

Any statements made by an affiliate must reflect the affiliate’s genuine experience and must be truthful and supportable.

Affiliates may not make medical claims or guarantees relating to:

• Guaranteed hair growth
• Scalp diseases or disorders
• Medical conditions
• Treatment, prevention, or cure of any disease or medical condition

Prohibited Promotional Activities

Affiliates may not engage in:

• Spam or unsolicited bulk communications
• False, deceptive, or misleading advertising
• Fraudulent referrals or transactions
• Misrepresentation of the Company or its products
• Unauthorized coupon distribution
• Coupon scraping
• Posting codes to coupon or deal websites without permission
• Misleading redirects or forced clicks
• Cookie stuffing or similar tracking manipulation
• Any activity that could reasonably harm the reputation of Hot Head™ or Thermal Hair Care, Inc.

Affiliates may not use Hot Head™, Thermal Hair Care, or related trademarks in paid search advertising, domain names, social media usernames, advertising account names, or similar uses without prior written approval.

8. Brand Assets and Intellectual Property

Thermal Hair Care, Inc. owns all rights to the Hot Head™ and Thermal Hair Care names, trademarks, logos, photographs, graphics, product imagery, written materials, and other brand assets.

Affiliates may approved brand assets provided through the Affiliate Program solely for the purpose of promoting Hot Head™ in accordance with this Agreement.

Affiliates may not materially alter Company logos, trademarks, product photography, or other proprietary materials without prior written permission.

Participation in the Affiliate Program does not transfer ownership of any Company intellectual property to the affiliate.

9. Relationship of the Parties

Affiliates participate in the program as independent contractors.

Nothing in this Agreement creates an employment relationship, partnership, joint venture, franchise, agency, or sales representative relationship between an affiliate and Thermal Hair Care, Inc.

Affiliates have no authority to enter into contracts, make commitments, incur obligations, or make representations on behalf of Thermal Hair Care, Inc.

Affiliates are responsible for their own business expenses, taxes, reporting requirements, and other obligations arising from affiliate income.

10. Term and Termination

This Agreement begins when an affiliate is accepted into the Hot Head™ Affiliate Program and continues until terminated by either party.

Either Thermal Hair Care, Inc. or the affiliate may terminate participation in the program at any time.

Thermal Hair Care, Inc. may immediately suspend or terminate an affiliate account for violations of this Agreement, fraudulent activity, misleading promotion, misuse of trademarks, inappropriate claims, or other conduct the Company reasonably determines to be harmful to the brand or Affiliate Program.

Upon termination, the affiliate must stop using affiliate links, promotional codes, Company brand assets, and other materials provided through the program.

Approved commissions validly earned before termination will remain payable according to the normal payment terms, except for commissions associated with fraud, policy violations, returns, cancellations, chargebacks, or otherwise ineligible transactions.

No commissions will be earned on purchases occurring after the affiliate relationship has been terminated.

11. Program Changes

Thermal Hair Care, Inc. may update or modify the Affiliate Program, including commission rates, promotional policies, payment procedures, minimum payout requirements, or other program terms.

When reasonably practicable, affiliates will be notified of material changes.

Continued participation in the Affiliate Program after updated terms become effective constitutes acceptance of those updated terms.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Thermal Hair Care, Inc. will not be liable for indirect, incidental, consequential, special, or punitive damages arising from participation in the Affiliate Program.

The Company does not guarantee any particular level of traffic, referrals, sales, commissions, or earnings.

The Affiliate Program and affiliate tracking services are provided on an “as available” basis.

13. Severability

If any provision of this Agreement is found to be invalid or unenforceable, that provision will be limited or removed only to the extent necessary, and the remaining provisions will continue in full force and effect.

14. Governing Law

This Agreement will be governed by and interpreted in accordance with the laws of the State of Colorado, without regard to conflict-of-law principles.

15. Entire Agreement

This Agreement constitutes the agreement between Thermal Hair Care, Inc. and the affiliate regarding participation in the Hot Head™ Affiliate Program and supersedes prior affiliate program terms covering the same subject matter.

By registering for or participating in the Hot Head™ Affiliate Program, you acknowledge that you have read, understood, and agree to these terms and conditions.
