1. Introduction to the Agreement

This is an Agreement between you and i2i Optometrists Ltd, trading as Pret A Voir. Please read these terms carefully, as they outline the rules of the Pret A Voir Affiliate Program. By accepting these Terms and Conditions, you agree that you have read, understood, and will comply with each condition. This program is designed to provide mutual benefits, driving value for both parties.

2. Definitions

• Affiliate: Individuals or entities participating in the Affiliate Program.
• Customers: The end users of Pret A Voir’s products.
• Affiliate Program: The Pret A Voir-operated program rewarding affiliates with commissions for referring customers.
• Affiliate Link: The unique URL that tracks referrals.
• Referral: A potential customer directed to Pret A Voir via an affiliate link.
• Commission: The monetary reward affiliates earn from sales.
• Abandoned Affiliate Account: Accounts inactive for 12 months or with no referrals for 6 months.
• Successful Sale: A customer purchase that is not cancelled or returned within 14 days.
• Tracking Software: The platform used by Pret A Voir to monitor sales and commissions.
• Payout Threshold: The minimum amount of accrued commission (£100) required for payment to be processed.

3. Participation Requirements and Partner Obligations

To join the affiliate program, you must be at least 18 years old and have a functioning website or social media profile. Affiliates are responsible for ensuring that their content aligns with Pret A Voir’s brand and policies. You are required to regularly review Pret A Voir’s terms and updates to ensure continued compliance.

Affiliates may use Pret A Voir’s intellectual property only for promoting products. Pret A Voir reserves the right to monitor affiliate activities and request access to platforms where links are used.

4. Policies and Prohibited Activities

Affiliates must comply with all applicable laws, including anti-spam and advertising regulations. Violating these laws will result in account suspension or termination. Affiliates must comply with FTC, EU disclosure laws, and the advertising guidelines and policies of social media platforms (e.g., Facebook, Instagram) and search engines (e.g., Google). Additionally, affiliates must follow local data protection laws, such as GDPR in the EU, ensuring the proper handling of customer data.

Prohibited content includes copyright violations, adult content, gambling, and political views. Affiliates are not permitted to bid on Pret A Voir-related keywords in paid campaigns. Misrepresentation or misuse of coupon and discount codes will result in account removal. Posting these codes on public platforms without prior approval is prohibited.

Self-referrals (purchasing via your own affiliate link) are strictly forbidden.

5. Commissions and Payments

Commissions are earned for paying customers referred via the affiliate link. Pret A Voir will only pay commissions for successful sales that are tracked by its software. Pret A Voir’s tracking system is the sole determinant of whether a sale was made and whether a commission is due. Disputes regarding commissions must be raised within 60 days of the sale.

Unsuccessful Sales Adjustments

• Cancelled Orders: No commission will be paid on sales where the customer cancels the order prior to dispatch.
• Full Returns: If the customer returns the order in full, no commission will be paid.
• Partial Returns: In the case of partial returns, the commission will be adjusted to reflect the final sale amount after the return has been processed.

Invoicing and VAT

• Affiliates are required to raise an invoice for the amount due before any payments are made.
• If an affiliate is VAT-registered, they should add VAT to their invoice in accordance with local tax laws. It is the affiliate’s responsibility to ensure their invoice complies with any applicable VAT regulations.
• Pret A Voir is not liable for any tax or VAT owed on the commissions paid. Affiliates are responsible for managing and reporting any tax or VAT obligations in their respective jurisdictions.

Commissions are paid out quarterly, with a minimum payout threshold of £100. Payments are made via Bank Transfer.

6. Commission Rate Upgrades

Affiliates can unlock higher commission rates by reaching specific performance thresholds. Once an affiliate generates 100 lifetime orders, they qualify for the VIP Commission Rate of 10%, with an enhanced cookie period of 30 days.

The upgraded commission rate will take effect starting with the first sale made after the affiliate meets the required threshold. Pret A Voir reserves the right to review and confirm eligibility before applying the rate upgrade. Performance reviews are conducted quarterly, and eligibility for upgrades will be communicated via email.

7. Data Reporting and Transparency

Affiliates can expect monthly performance reports, detailing key metrics such as clicks, sales, and commissions. These reports help affiliates optimise their promotional strategies and track their performance.

8. Referral Fraud

Pret A Voir strictly prohibits any form of referral fraud, including fake referrals or any other practices that misrepresent affiliate performance. Engaging in fraudulent activities will result in immediate account termination and forfeiture of any commissions earned.

9. Affiliate Support and Training

Pret A Voir offers training materials and support to affiliates, including guides on best practices, strategies for increasing sales, and tips for optimising performance. Affiliates are encouraged to make use of these resources to maximise their potential.

10. Affiliate Account Ownership

Affiliate accounts are non-transferable and must be used only by the individual or entity that registered. Any attempts to transfer or sell the account will result in immediate termination.

11. Confidentiality

Affiliates must treat Pret A Voir’s promotional tools, performance data, and communications as confidential information. This information must not be shared with third parties without Pret A Voir’s prior written consent.

12. Tax Responsibilities

Affiliates are solely responsible for reporting and paying any applicable taxes on commissions earned through the Pret A Voir Affiliate Program. Pret A Voir does not provide tax advice and is not responsible for any tax liabilities incurred by affiliates.

13. Indemnification

Affiliates agree to indemnify and hold Pret A Voir harmless from any claims, damages, or liabilities arising from their content, promotional activities, or violation of any terms in this agreement.

14. Amendments

Pret A Voir reserves the right to modify or amend these Terms & Conditions at any time. Affiliates will be notified of any significant changes, and continued participation in the program after such changes constitutes acceptance of the revised terms.

15. Program Suspension

Pret A Voir reserves the right to temporarily suspend the affiliate program for maintenance, updates, or any other reasons. Affiliates will be notified in advance of any suspensions.

16. Affiliate Activity Review

Pret A Voir reserves the right to audit affiliate accounts and promotional activities to ensure compliance with the terms and conditions. If discrepancies or violations are discovered, Pret A Voir may suspend the account pending further investigation.

17. Dispute Resolution

In the event of any disputes related to this Agreement, both parties agree to first attempt to resolve the dispute through mediation. If mediation fails, the matter will be subject to the governing law and jurisdiction outlined in this Agreement.

18. Termination of Affiliate Account

Pret A Voir reserves the right to terminate your participation in the program at any time, for any reason. Abandoned accounts, defined as accounts inactive for 12 months or with no referrals for 6 months, may be automatically terminated. Pret A Voir will provide 30 days’ notice before termination due to inactivity, allowing affiliates to take corrective action.

If terminated, commissions above £100 will be paid out; commissions under the threshold will be voided.

19. Non-Exclusive Agreement

Participation in the Pret A Voir Affiliate Program is non-exclusive. Affiliates are free to participate in other affiliate programs, provided that these activities do not conflict with Pret A Voir’s interests.

20. Ethical Marketing

Affiliates are expected to engage in ethical marketing practices, avoiding misleading promotional tactics such as false claims, false endorsements, or artificially inflating urgency (e.g., false scarcity).

21. Affiliate Performance Monitoring

Pret A Voir reserves the right to review affiliate performance periodically. Underperforming affiliates, defined as those consistently failing to meet traffic or sales expectations, may be given additional follow-up or could be removed from the program after sufficient notice.

22. Governing Law

This Agreement is governed by and construed in accordance with the laws of the United Kingdom, and any disputes will be subject to the exclusive jurisdiction of the UK courts.

23. Limitation of Liability

Pret A Voir provides no warranty for the affiliate program, which is offered “as is.” Pret A Voir is not liable for any indirect, special, or consequential damages, including lost profits or business opportunities. Pret A Voir is also not responsible for delays or non-performance caused by events outside of its control (force majeure).
