Terms of Use and Privacy Statement
PLEASE READ THE ENTIRE
AGREEMENT. IT IS ADVISED THAT YOU PRINT THESE PAGES FOR YOUR
RECORDS. THIS IS A LEGAL AGREEMENT BETWEEN YOU AND JRENNET, LLC.
BY REGISTERING FOR THE AFFILIATE
PROGRAM, YOU ARE AGREEING THAT YOU HAVE READ AND UNDERSTAND THE TERMS AND
CONDITIONS OF THIS CONTRACT, AND THAT YOU AGREE TO BE LEGALLY RESPONSIBLE FOR
EACH AND EVERY TERM AND CONDITION.
1. Affiliate Agreement
This Agreement describes the terms
and conditions for participation in the JRENNET,
LLC Affiliate Program. In this Agreement, the term “affiliate” refers to
you (the applicant). The JRENNET, LLC
Affiliate Program is our own internal affiliate system.
2. Affiliate URL
Affiliates will be issued with a
special and unique URL for the href website, once they become a member
of our Affiliate Program. This will allow all affiliates to be paid for
referrals in an accurate and justifiable way. The clients must use/click on the
affiliate’s link in order for the affiliate to get commission. You may place
the URL within your newsletters, in content of your website, within other web
related content or in non-spam emails. You may NOT use banners or links, such
as newsgroups, chat rooms, ICQ, message boards, banner networks, hit farms,
counters, or guestbooks etc. You may NOT place the URL in a “Desktop”
advertising scheme, including any and all third party advertising platforms
that use a desktop application to display ads in any form. You are NOT allowed
to use any display of a merchant window that isn’t the result of a direct click
by the end-user.
3. Commissions
You will receive a commission of the revenue or a flat rate per
purchase placed on the website with the unique URL. Commissions may change at
the discretion of JRENNET, LLC. Full payment from the customer using the
unique URL is the only way the commission can be obtained and recorded. Accurately spelled URL for customers to be
made aware of, are the sole responsibility of the affiliate. If a customer has
returned an item, the commission for that particular transaction will nullified
and evidence of the customer’s refund will also be sent to the affiliate.
Earnings and payments history are not allowed to be discussed and disclosed with
anyone other than the appointed members at JRENNET, LLC, and the approved affiliate (you).
4.
Tracking Commissions
All affiliates will be able to track
their commissions on the website Affiliatly (href). This is an external company which
allows both JRENNET, LLC and the
affiliates to track the performance of the JRENNET, LLC Affiliate Program - their stats, earnings and
payments history - in an accurate and justifiable way. Affiliates will be
supplied with their unique login code and ID so that they can track their
individual stats, earnings and payments history. Each individual’s statistics,
earnings and payments history will not be shared with other affiliates. Only
Affiliatly, JRENNET, LLC and the
individual affiliate will be able to see its information.
5.
Payment
JRENNET, LLC
will pay affiliates with the agreed upon timing and to such accounts as set
forth on the Affiliatly website. (href)
6. Order Fulfilment
JRENNET,
LLC will be responsible for processing
every order placed by a customer with the use of the affiliate’s URL. Affiliates are not authorized to
collect payments or sell any JRENNET,
LLC products from other websites as a ‘distributor’. Affiliates may only
be granted permission to resale products which were gifted to them, or
purchased by themselves, for personal use only, not commercial use.
7. Promotion Restrictions
You are free to promote your own
websites and business ventures. You should know that certain forms of
advertising are always prohibited by JRENNET,
LLC. For example, advertising
commonly referred to as “SPAMMING” is unacceptable to us and could cause damage
to our name. JRENNET, LLC will terminate your account on the first offense of
SPAMMING. Do not send email to lists or groups that you do not have
permission to send to. JRENNET, LLC
cannot stress this enough, JRENNET, LLC WILL terminate your account on the
first offense.
8. Other Restrictions
Fraud is a serious offense, and will
be treated as such. Fraud is defined as any action that intentionally attempts
to create sales, leads, or click-throughs using robots, frames, . s,
scripts, or manually “refreshing” of pages, for the sole purpose of creating
commissions. ANY ATTEMPTED FRAUD OR
FRAUD WILL RESULT IN TERMINATION of your
account AND VOIDED COMMISSIONS.
THE FOLLOWING TYPES OF SITES ARE NOT
ALLOWED TO PARTICIPATE IN
the JRENNET, LLC Affiliate
Program: ADULT SITES, SITES THAT DISPLAY
ADULT BANNERS, SITES THAT PROMOTE VIOLENCE, BIGOTRY, OR HATRED. SITES THAT
PROMOTE ILLEGAL ACTIVITY, including but not limited to WAREZ, CRACKING, and HACKING
SITES.
9. Representations
You represent to JRENNET, LLC that all content you
provide is solely owned by you or provided by you with the express authority of
the company you represent, does not infringe upon any other individual’s or
organization’s rights (including, without limitation, intellectual property
rights) and is not defamatory, libelous, unlawful or otherwise objectionable.
You shall not provide, promote, distribute, place or otherwise publish as an
affiliate any content, or website that includes content, which is libelous,
defamatory, obscene, pornographic, abusive, fraudulent or violates any law. As JRENNET, LLC may not review all
information provided by you, you shall remain solely responsible for your
content and website.
10. LIMITATION OF LIABILITY
JRENNET, LLC SHALL NOT BE LIABLE TO
YOU OR ANY OTHER PERSON FOR (I) ANY INDIRECT, SPECIAL, INCIDENTAL OR
CONSEQUENTIAL DAMAGES OF ANY CHARACTER ARISING OUT OF THE JRENNET, LLC Affiliate Program OR ANY
INFORMATION PROVIDED ON THE href
WEBSITE,
Affiliatly website (href) OR ANY
OTHER HYPERLINKED WEBSITE, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF
GOODWILL, ANY LOST PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR OTHER
DATA, EVEN IF JRENNET, LLC OR A JRENNET, LLC AUTHORIZED
REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR (II) ANY
CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS OR OTHER INACCURACIES IN THE WEBSITE,
THE Affiliatly website OR ANY HYPERLINKED WEBSITE. BECAUSE
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR
CONSEQUENTIAL DAMAGES, THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. IN SUCH
JURISDICTIONS, JRENNET, LLC’S
LIABILITY IS LIMITED TO THE SMALLEST AMOUNT PERMITTED BY LAW. THIS PARAGRAPH
WILL SURVIVE THE FAILURE OF ANY EXCLUSIVE OR LIMITED REMEDY.
11.
Relationship of Parties
Affiliates
are independent contractors, and nothing in this Agreement will create any
partnership, joint venture, agency, franchise, sales representative, or
employment relationship between the parties. Affiliates have no authority to
make or accept any offers or representations on our behalf. Affiliates will not
make any statement, whether on their sites or otherwise, that reasonably would
contradict this statement.
12. Terms and Termination
The terms of this Agreement will
begin when you accept and will end when terminated by either party. Either JRENNET, LLC, or the affiliate may
terminate this Agreement at any time, with or without cause. Upon the
termination of this Agreement for any reason, all licenses granted hereunder
shall immediately terminate and you will immediately cease use of, and be
removed from Affiliatly (href). Your unique URL will also be discontinued, and JRENNET, LLC will no longer be liable
to pay you commission.
13.
Miscellaneous
You agree that the JRENNET, LLC Affiliate Program may
rely on any data, notice, instruction or request furnished to JRENNET, LLC by you which is
reasonably believed by JRENNET, LLC
to be genuine and to have been sent or presented by a person reasonably
believed by JRENNET, LLC to be
authorized to act on your behalf. You shall notify JRENNET, LLC by email at [] of any known or suspected
unauthorized uses of your account, or any known or suspected breach of
security, including loss, theft or unauthorized disclosure of your account
information. You shall be responsible for maintaining the confidentiality your
account information and you are responsible for all usage and activity on your
account, including use of the account by a third party authorized by you to use
your account. Any fraudulent, abusive or otherwise illegal activity may be
grounds for termination by JRENNET, LLC
and referral to the appropriate law enforcement agencies.
If any of the provisions of this
Agreement are determined by a court to be unenforceable, they shall be severed
from this Agreement, and the remaining provisions shall remain in full force
and effect. This Agreement shall be governed by and interpreted in accordance
with the laws of the State of New York without regard to the conflicts of laws
and principles thereof. In case there are any conflict/s, such as you not
abiding with these terms whilst the contract is still active, you will need to
provide your ID, this includes your proof of address. By signing up with the JRENNET, LLC Affiliate Program, you
acknowledge that you have read this Agreement and agree to all its terms and
conditions. You have independently evaluated this program and are not relying
on any representation, guarantee or statement other than as set forth in this
Agreement.
