Affiliate Program Terms & Conditions

By registering for and participating in the Creative Audio Affiliate Program (“Program”), you (“Affiliate”) agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, do not enroll or participate.

This agreement is between you and Creative Audio, Inc., a Missouri S Corporation (“Creative Audio,” “Company,” “we,” “us”).

1. Program Overview

The Program allows approved Affiliates to earn commissions for qualifying purchases made through tracked affiliate links, discount codes, or other referral methods provided via the Affiliatly platform.

2. Eligibility & Approval

• Affiliates must be at least 18 years old
• All applications are subject to review and approval at Creative Audio’s sole discretion
• We may reject or terminate any affiliate account at any time, with or without cause

Providing false, misleading, or incomplete information may result in immediate termination.

3. Affiliate Obligations

Affiliates agree to:

• Promote Creative Audio products honestly and professionally
• Comply with all applicable laws, including FTC endorsement and disclosure requirements
• Clearly disclose the affiliate relationship in all promotions
• Use only approved Creative Audio branding, links, and creatives
• Maintain accurate account, payment, and tax information

4. Prohibited Conduct

Affiliates may not:

• Make false, misleading, or unsubstantiated claims
• Use spam, bots, cookie stuffing, or fraudulent tracking methods
• Self-refer or purchase products through their own affiliate links
• Use Creative Audio trademarks in domain names, paid ads, or social handles without written permission
• Post affiliate links on coupon, cashback, or deal aggregation sites without approval
• Offer unauthorized incentives, rebates, or guarantees

Violations may result in immediate termination and forfeiture of unpaid commissions.

5. Commissions & Tracking

• Commission rates and eligibility rules are defined within Affiliatly and may change at any time
• Only completed, non-refunded, and properly tracked orders qualify
• Creative Audio’s and Affiliatly’s tracking data are final and controlling

No commissions are paid on refunded, canceled, fraudulent, or non-compliant orders.

6. Payments

• Payments are issued according to the payout schedule shown in Affiliatly
• Affiliates are responsible for all applicable taxes
• Creative Audio may issue IRS Form 1099-NEC where required
• Payments may be withheld for fraud, violations, chargebacks, or accounting discrepancies

7. Intellectual Property

Affiliates receive a limited, revocable license to use Creative Audio trademarks and assets solely for Program participation.

All rights remain with Creative Audio. Upon termination, all use must immediately cease.

8. Termination

Either party may terminate participation at any time.

Creative Audio may immediately suspend or terminate accounts for violations. Unpaid commissions earned through prohibited conduct or not yet eligible for payout may be forfeited.

9. Independent Contractor

Affiliates are independent contractors. Nothing herein creates an employment, partnership, joint venture, or agency relationship.

10. Limitation of Liability

To the fullest extent permitted by Missouri law, Creative Audio is not liable for indirect, incidental, or consequential damages arising from participation in the Program.

11. Indemnification

Affiliates agree to indemnify and hold harmless Creative Audio from any claims or damages arising from their participation, promotions, or violation of these Terms.

12. Modifications

Creative Audio may modify these Terms at any time. Continued participation after changes constitutes acceptance.

13. Governing Law

These Terms are governed by the laws of the State of Missouri. Any disputes shall be resolved exclusively in Missouri courts.

14. Entire Agreement

These Terms constitute the entire agreement regarding the Affiliate Program and supersede all prior agreements.
