These Affiliate Program Terms of Service ("Terms") govern participation in the Nail Supply Inc. Affiliate Program (the "Program"). By clicking "Apply," "Join," or otherwise enrolling in or participating in the Program, you ("Affiliate," "you," or "your") affirmatively agree to be bound by these Terms.
1. Program Overview
The Nail Supply Inc. Affiliate Program allows approved affiliates to earn commissions by promoting Nail Supply Inc. products through approved affiliate links, codes, or other tracking methods provided by Nail Supply Inc. ("Company," "we," "us," or "our").
2. Eligibility and Enrollment
- Participation is open to individuals or businesses that are at least 18 years old.
- You must submit a complete and accurate affiliate application.
- We reserve the right to approve or reject any application at our sole discretion, without obligation to provide a reason.
- Providing false, misleading, or incomplete information may result in immediate termination.
3. Affiliate Responsibilities
As an Affiliate, you agree to:
- Promote Nail Supply Inc. products in a truthful, ethical, and professional manner.
- Comply with all applicable laws, regulations, and guidelines, including but not limited to FTC endorsement and disclosure requirements.
- Clearly disclose your affiliate relationship in all promotions (e.g., "This post contains affiliate links").
- Use only approved brand assets, links, and promotional materials provided by Nail Supply Inc.
- Maintain the security of your affiliate account and credentials.
4. Prohibited Activities
Affiliates may not, including but not limited to, the following:
- Make false, misleading, or unsubstantiated claims about Nail Supply Inc. or its products.
- Engage in spam, deceptive, or unethical marketing practices.
- Use paid search ads, domain names, social media handles, or usernames that include or closely resemble "Nail Supply Inc." or its trademarks without prior written consent.
- Promote affiliate links on coupon sites, deal forums, or cashback websites unless expressly authorized.
- Offer unauthorized incentives, rebates, or rewards for using your affiliate link.
- Engage in cookie stuffing, link manipulation, or fraudulent tracking activities.
- Violate the intellectual property rights of Nail Supply Inc. or any third party.
5. Commission Structure
- Commission rates, qualifying actions, and payout thresholds will be communicated separately and may vary by product or promotion.
- Commissions are earned only on completed and eligible purchases tracked through your unique affiliate link or code.
- Commissions will not be paid on:
- Returned, refunded, or canceled orders
- Fraudulent or self-referred purchases
- Purchases made using unauthorized promotional methods
6. Payment Terms
- Payments will be issued according to the payout schedule communicated within the affiliate platform.
- Affiliates are responsible for providing accurate payment and tax information.
- Nail Supply Inc. may issue IRS Form 1099-NEC where required by law.
- We reserve the right to withhold or delay payments for suspected fraud, policy violations, or chargebacks.
- Affiliates are responsible for all federal, state, and local taxes related to affiliate earnings.
7. Intellectual Property
- Nail Supply Inc. grants Affiliates a limited, non-exclusive, non-transferable, revocable license to use approved trademarks, logos, and marketing materials solely for Program participation.
- All intellectual property rights remain the exclusive property of Nail Supply Inc.
- Upon termination, all use of Nail Supply Inc. intellectual property must immediately cease.
8. Term and Termination
- These Terms remain in effect while you participate in the Program.
- Either party may terminate participation at any time, with or without cause, upon written or electronic notice.
- We may immediately suspend or terminate your account for any violation of these Terms.
- Unpaid commissions earned through violations of these Terms or not yet eligible for payout at the time of termination may be forfeited.
9. Limitation of Liability
To the fullest extent permitted by Missouri law, Nail Supply Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the Program. Nothing in these Terms limits liability for gross negligence, willful misconduct, or fraud to the extent prohibited by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Nail Supply Inc., its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising from your participation in the Program or breach of these Terms.
11. Modification of Terms
We reserve the right to modify or update these Terms. We will provide notice of material changes by email or through the affiliate platform. Continued participation in the Program after such notice constitutes acceptance of the revised Terms.
12. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located within the State of Missouri.
13. Independent Contractor Relationship
Nothing in these Terms creates any partnership, joint venture, employment, or agency relationship between you and Nail Supply Inc. You act solely as an independent contractor.
14. Assignment
Affiliates may not assign, transfer, or sublicense any rights or obligations under these Terms without the prior written consent of Nail Supply Inc. We may assign these Terms at our discretion.
15. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable under Missouri law, the remaining provisions shall continue in full force and effect.
16. No Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
17. Entire Agreement
These Terms constitute the entire agreement between you and Nail Supply Inc. regarding the Affiliate Program and supersede all prior agreements or understandings.
