Affiliate Program Agreement

This Affiliate Agreement (“Agreement”) is entered into between Steel Bison Labs (“Company”) and the applicant (“Affiliate”).

By registering for and participating in our Affiliate Program, you agree to the following terms:

1. Program Overview

The Affiliate Program allows approved individuals or entities to promote Company products using unique referral links and/or discount codes in exchange for commissions on qualifying sales.

2. Eligibility & Approval

• All affiliate applications are subject to approval at the sole discretion of the Company
• The Company reserves the right to reject or terminate any Affiliate at any time
• Affiliates must be at least 18 years old

3. Permitted Promotion Methods

Affiliates may promote through:

• Social media platforms
• Email marketing (CAN-SPAM compliant)
• Websites or blogs
• Paid advertising (with prior approval)

4. Prohibited Activities

Affiliates may NOT:

• Make medical, therapeutic, or performance claims about products
• Suggest or imply products are intended for human consumption
• Provide dosing instructions or usage guidance
• Misrepresent products as FDA-approved or regulated
• Engage in spam, misleading, or deceptive marketing
• Use brand bidding on paid ads without permission
• Create fake reviews or testimonials

Violation of this section may result in immediate termination and forfeiture of commissions.

5. Compliance & Product Positioning

Affiliates must clearly represent all products as:

• “For laboratory research purposes only”
• “Not for human consumption”

Affiliates agree to comply with all applicable laws, regulations, and platform policies.

6. Affiliate Links & Tracking

• Affiliates will receive unique tracking links and/or discount codes
• Commissions are only paid on properly tracked sales
• The Company is not responsible for tracking errors due to misuse of links

7. Commissions

• Commission rates will be communicated separately
• Commissions are earned on completed, non-refunded orders
• The Company reserves the right to adjust commission rates at any time

8. Payment Terms

• Payments are issued on a monthly basis
• Minimum payout threshold: [$100]
• Payments may be withheld for suspected fraud or violations

9. Refunds & Chargebacks

• Commissions will not be paid on refunded or disputed transactions
• Previously paid commissions may be deducted from future payouts

10. Intellectual Property

• Affiliates may use approved branding materials only
• No modification of logos or brand assets without permission

11. Termination

The Company may terminate this Agreement at any time for:

• Violation of terms
• Regulatory or compliance concerns
• Business or platform risk

Upon termination:

• Affiliate links will be deactivated
• Outstanding commissions may be withheld if violations occurred

12. Limitation of Liability

The Company shall not be liable for:

• Indirect or consequential damages
• Loss of profits or revenue
• Affiliate misuse of products or claims

13. Indemnification

Affiliate agrees to indemnify and hold harmless the Company from any claims, damages, or liabilities resulting from:

• Affiliate marketing activities
• Misrepresentation of products
• Violation of laws or regulations

14. Independent Contractor

Affiliates are independent contractors and not employees, partners, or agents of the Company.

15. Modifications

The Company reserves the right to update these terms at any time. Continued participation constitutes acceptance of changes.

16. Governing Law

This Agreement shall be governed by the laws of Iowa.

17. Acceptance

By registering for the Affiliate Program, you acknowledge that you have read, understood, and agree to these terms.
