Teilnahmebedingungen für das Woolpedia Partnerprogramm

§ 1 Geltungsbereich und Vertragspartner

(1) Diese Teilnahmebedingungen regeln die Rechte und Pflichten zwischen Woolpedia, Inhaberin Julia Marquardt, Derrylin Road H14 PW66, Ballyconnell, Co. Cavan, Irland (nachfolgend „Woolpedia“ oder „Betreiber“) und den Teilnehmern des Woolpedia Partnerprogramms (nachfolgend „Partner“). (2) Das Partnerprogramm ermöglicht es dem Partner, Produkte des Onlineshops woolpedia.de zu bewerben und dafür unter den nachfolgend genannten Bedingungen eine erfolgsabhängige Provision zu erhalten. (3) Durch die Registrierung für das Partnerprogramm über das bereitgestellte Portal (https://www.affiliatly.com/af-1075098/affiliate.panel?ch=1&ch=1&mode=register&change_language=de) erklärt sich der Partner mit diesen Teilnahmebedingungen einverstanden.

§ 2 Status des Partners (Selbstständigkeit)

(1) Der Partner agiert als selbstständiger Unternehmer. Zwischen Woolpedia und dem Partner wird kein Arbeitsverhältnis, kein Angestelltenverhältnis und kein Agentur- oder Gesellschaftsverhältnis begründet. (2) Der Partner ist für die ordnungsgemäße Versteuerung aller im Rahmen dieses Programms erzielten Einnahmen nach den für ihn geltenden steuerrechtlichen Vorschriften (z. B. Einkommensteuer, Umsatzsteuer, Gewerbesteuer) selbst verantwortlich.

§ 3 Anmeldung und Freischaltung

(1) Ein Anspruch auf Teilnahme am Partnerprogramm besteht nicht. Woolpedia behält sich das Recht vor, Bewerbungen ohne Angabe von Gründen abzulehnen. (2) Der Partner ist verpflichtet, bei der Registrierung wahrheitsgemäße und vollständige Angaben zu machen. Änderungen der Daten (insbesondere der Auszahlungsdaten) sind unverzüglich im Partner-Dashboard zu aktualisieren.

§ 4 Werbemittel, Tracking und Cookie-Laufzeit

(1) Zur Erfassung von Vermittlungen stellt das System des Drittanbieters Affiliatly entsprechende Tracking-Links und/oder Gutscheincodes zur Verfügung. (2) Die Cookie-Speicherdauer für das Link-Tracking beträgt 7 Tage. Ein Provisionsanspruch besteht nur, wenn der Kauf innerhalb dieses Zeitraums über den unveränderten Affiliate-Link getätigt wird und das System den Kauf technisch korrekt zuordnen kann („Last Cookie Wins“-Prinzip). (3) Der Partner darf die bereitgestellten Werbemittel und Markennamen von Woolpedia nur im Rahmen des Partnerprogramms nutzen. Eine missbräuchliche Verwendung oder die Schaltung von Werbeanzeigen auf den Markennamen „Woolpedia“ (z. B. Brand Bidding bei Google Ads) ist strikt untersagt.

§ 5 Vergütung und Voraussetzungen

(1) Die Provision berechnet sich auf Basis des Nettowarenwerts (Wert der bestellten Waren exklusive Umsatzsteuer, Versandkosten sowie abzüglich eventuell genutzter Rabatte). (2) Die Höhe der Provision beträgt:

• Link-Tracking: 5 % Provision
• Gutschein-Tracking: 3 % Provision (3) Ein Provisionsanspruch entsteht erst dann, wenn:
• die Bestellung vom Kunden vollständig bezahlt wurde,
• die Ware versandt wurde,
• die gesetzliche oder vertragliche Widerrufsfrist abgelaufen ist und der Kauf final abgeschlossen bleibt. (4) Ausschluss der Vergütung: Erstattete, stornierte, rückabgewickelte oder nicht bezahlte Bestellungen (z. B. durch Retouren, Annahmeverweigerung oder Zahlungsausfälle) werden nicht vergütet. Bereits vorgemerkte Provisionen für solche Bestellungen werden storniert.

§ 6 Auszahlungsbedingungen

(1) Die Auszahlung des Guthabens erfolgt auf Antrag des Partners ab Erreichen einer Mindestprovisionssumme von 50 €. (2) Als Auszahlungswege stehen PayPal oder Banküberweisung zur Verfügung. Der Partner muss die entsprechenden Zahlungsdaten im System hinterlegen. (3) Die Bearbeitung und Durchführung der Auszahlung kann bis zu 30 Tage ab Beantragung in Anspruch nehmen. (4) Etwaige Gebühren des Zahlungsdienstleisters (z. B. PayPal-Empfangsgebühren bei Konten außerhalb der EU oder Währungsumrechnungen) gehen zu Lasten des Partners.

§ 7 Datenschutz und Datenverarbeitung (DSGVO)

(1) Woolpedia verarbeitet die im Rahmen der Registrierung und Durchführung des Vertrages erhobenen personenbezogenen Daten des Partners (z. B. Name, E-Mail-Adresse, Zahlungsdaten, IP-Adresse) zum Zwecke der Vertragserfüllung gemäß Art. 6 Abs. 1 lit. b DSGVO. (2) Für die technische Abwicklung, das Tracking der Sales und die Verwaltung des Partnerprogramms nutzt Woolpedia die Software des Drittanbieters Affiliatly (SpiroMetric Sp. z o.o., Polen/EU). Zwischen Woolpedia und dem Anbieter besteht ein Vertrag zur Auftragsverarbeitung (AVV) gemäß Art. 28 DSGVO, um den Schutz der Partnerdaten zu gewährleisten. (3) Der Partner verpflichtet sich, auf seinen eigenen Kanälen (Websites, Social Media etc.) die geltenden Datenschutzbestimmungen einzuhalten und seine Nutzer transparent über den Einsatz von Affiliate-Links und Tracking-Cookies zu informieren (z. B. im Rahmen einer Datenschutzerklärung und ggf. über ein Cookie-Consent-Banner).

§ 8 Kennzeichnungspflicht (Werbung)

Der Partner verpflichtet sich, alle Affiliate-Links, Gutscheincodes und Empfehlungen, die im Rahmen dieses Programms genutzt werden, deutlich sichtbar als Werbung oder Anzeige zu kennzeichnen (z. B. durch Zusätze wie „Werbung / Affiliate-Link“), sofern dies nach den gesetzlichen Bestimmungen des jeweiligen Landes (z. B. Telemediengesetz / UWG im deutschsprachigen Raum) vorgeschrieben ist.

§ 9 Laufzeit und Beendigung

(1) Der Vertrag wird auf unbestimmte Zeit geschlossen und kann von beiden Parteien jederzeit ohne Einhaltung einer Frist gekündigt werden. (2) Eine Kündigung kann durch Löschung des Accounts durch den Partner oder durch Sperrung/Kündigung seitens Woolpedia erfolgen. (3) Im Falle eines nachgewiesenen Betrugsversuchs (z. B. Cookie-Stuffing, automatisierte Fake-Bestellungen, irreführende Werbung) wird der Account fristlos gesperrt und alle noch offenen Provisionen verfallen.

§ 10 Schlussbestimmungen und Gerichtsstand

(1) Es gilt das Recht von Irland. Bei Verbrauchern gilt diese Rechtswahl nur insoweit, als nicht der gewährte Schutz durch zwingende Bestimmungen des Rechts des Staates, in dem der Verbraucher seinen gewöhnlichen Aufenthalt hat, entzogen wird. (2) Sollten einzelne Bestimmungen dieser Bedingungen unwirksam sein oder werden, bleibt die Wirksamkeit der übrigen Bestimmungen unberührt.

Terms and Conditions for the Woolpedia Affiliate Program

§ 1 Scope and Contractual Parties

(1) These Terms and Conditions govern the rights and obligations between Woolpedia, Owner: Julia Marquardt, Derrylin Road H14 PW66, Ballyconnell, Co. Cavan, Ireland (hereinafter referred to as "Woolpedia" or "Operator") and the participants of the Woolpedia Affiliate Program (hereinafter referred to as "Partner" or "Affiliate"). (2) The affiliate program enables the Partner to promote products from the online shop woolpedia.de and receive a performance-based commission subject to the conditions specified below. (3) By registering for the affiliate program via the provided portal (https://www.affiliatly.com/af-1075098/affiliate.panel?ch=1&ch=1&mode=register&change_language=de), the Partner agrees to be bound by these Terms and Conditions.

§ 2 Status of the Partner (Independent Contractor)

(1) The Partner operates as an independent contractor. No employment, freelancer, agency, or partnership relationship is established between Woolpedia and the Partner. (2) The Partner is solely responsible for the proper taxation and declaration of all income earned within the scope of this program in accordance with the tax laws applicable to them (e.g., income tax, VAT, commercial tax).

§ 3 Registration and Approval

(1) There is no legal entitlement to participate in the affiliate program. Woolpedia reserves the right to reject applications at its sole discretion without providing reasons. (2) The Partner is obligated to provide truthful and complete information during registration. Any changes to this data (especially payment details) must be updated immediately in the affiliate dashboard.

§ 4 Marketing Materials, Tracking, and Cookie Lifetime

(1) For tracking referrals, the system provided by the third-party provider Affiliatly generates corresponding tracking links and/or coupon codes. (2) The cookie storage duration for link tracking is 7 days. A claim to a commission only exists if the purchase is made within this period via the unmodified affiliate link and the system can technically and correctly assign the purchase ("Last Cookie Wins" principle). (3) The Partner may only use the provided promotional materials and Woolpedia brand names within the framework of the affiliate program. Any misuse or placing of advertisements bidding on the brand name "Woolpedia" (e.g., brand bidding on Google Ads) is strictly prohibited.

§ 5 Commission and Eligibility Requirements

(1) The commission is calculated based on the net order value (the value of the ordered goods excluding VAT, shipping costs, and minus any applied discounts). (2) The commission rates are as follows:

• Link Tracking: 5% commission
• Coupon Tracking: 3% commission (3) A claim to a commission only arises once:
• the order has been paid in full by the customer,
• the goods have been shipped,
• the statutory or contractual return/withdrawal period has expired, and the purchase remains finalized. (4) Exclusion of Commission: Refunded, canceled, reversed, or unpaid orders (e.g., due to returns, refusal of delivery, or payment defaults) will not be commissioned. Any commissions already provisionally logged for such orders will be canceled.

§ 6 Payout Terms

(1) Payout of the accumulated balance can be requested by the Partner once a minimum commission threshold of €50 is reached. (2) PayPal or bank transfer are available as payout methods. The Partner must store the appropriate payment details in the system. (3) The processing and execution of the payout may take up to 30 days from the date of the request. (4) Any fees charged by the payment service provider (e.g., PayPal receiving fees for accounts outside the EU or currency conversions) shall be borne by the Partner.

§ 7 Data Protection and Data Processing (GDPR)

(1) Woolpedia processes the personal data of the Partner collected during registration and performance of the contract (e.g., name, email address, payment details, IP address) for the purpose of contract fulfillment in accordance with Art. 6 (1) (b) GDPR. (2) For technical processing, tracking sales, and managing the affiliate program, Woolpedia uses the software of the third-party provider Affiliatly (SpiroMetric Sp. z o.o., Poland/EU). A Data Processing Agreement (DPA) pursuant to Art. 28 GDPR is in place between Woolpedia and the provider to ensure the protection of the Partner's data. (3) The Partner agrees to comply with applicable data protection regulations on their own channels (websites, social media, etc.) and to transparently inform their users about the use of affiliate links and tracking cookies (e.g., within a privacy policy and, if applicable, via a cookie consent banner).

§ 8 Disclosure and Labeling Obligations (Advertising)

The Partner agrees to clearly and visibly label all affiliate links, coupon codes, and recommendations used within this program as advertisements or sponsored content (e.g., by adding disclosures such as "Ad / Affiliate Link") where required by the statutory regulations of the respective country.

§ 9 Term and Termination

(1) This agreement is entered into for an indefinite period and may be terminated by either party at any time without notice. (2) Termination can be effected by the Partner deleting their account or by Woolpedia suspending/terminating the account. (3) In the event of proven fraudulent activity (e.g., cookie stuffing, automated fake orders, misleading advertising), the account will be terminated immediately without notice, and all pending commissions will be forfeited.

§ 10 Final Provisions and Jurisdiction

(1) This agreement shall be governed by the laws of Ireland. For consumers, this choice of law applies only to the extent that it does not deprive the consumer of the protection afforded by mandatory provisions of the law of the state in which the consumer has their habitual residence. (2) Should individual provisions of these terms be or become invalid, the validity of the remaining provisions shall remain unaffected.
