RBIA SHADES AMBASSADOR PROGRAM

Affiliate Terms & Conditions

Effective Date: October 17, 2026

By applying to or participating in the RBIA Shades Ambassador Program (“Program”), you (“Affiliate”) agree to these Terms & Conditions with RBIA Shades (“Company”).

1. Program Eligibility

Applicants must be at least 18 years old and provide accurate registration information.

Participation is subject to approval by RBIA Shades. The Company reserves the right to approve, reject, suspend, or terminate an affiliate relationship in accordance with these terms and applicable law.

Affiliates must maintain appropriate promotional channels and comply with all applicable laws and regulations.

2. Independent Affiliate Relationship

Affiliates participate as independent marketing partners and are not employees, agents, franchisees, or legal representatives of RBIA Shades.

Participation does not create an employment relationship, partnership, or joint venture. Affiliates have no authority to enter into agreements or make commitments on behalf of RBIA Shades.

Affiliates are responsible for their own business expenses and applicable taxes.

3. Affiliate Commissions

Approved Affiliates earn a standard 15% commission on qualifying net product sales attributed to their unique affiliate links.

Qualifying net product sales exclude sales tax, shipping charges, discounts, refunds, and canceled items.

Commissions are earned only on eligible completed orders successfully attributed to an Affiliate through the Company’s tracking system.

Self-referrals, fraudulent transactions, duplicate commissions, and unauthorized purchases do not qualify.

RBIA Shades may offer separately agreed commission structures or promotional incentives to selected Affiliates.

4. Referral Tracking

The standard referral tracking period is 30 days from the qualifying referral visit.

Referral attribution depends on functioning tracking technology, applicable privacy preferences, and the Program’s attribution rules.

RBIA Shades does not guarantee that every referral will be tracked. Where attribution is disputed, the Company will review reasonably available records and make a good-faith determination.

5. Payment Terms

Affiliate commissions are reviewed and paid monthly through Zelle on the 15th of each month.

The minimum payout threshold is $25 in approved commissions.

Payments are subject to verification of qualifying purchases and completion of applicable refund, cancellation, and return periods.

Eligible commissions that do not meet the payout requirements will carry forward to a subsequent payment cycle.

If the 15th falls on a weekend or banking holiday, payments will be processed on the next business day.

Affiliates must provide accurate Zelle payment information and maintain an eligible U.S. bank account capable of receiving payments.

RBIA Shades reserves the right to withhold disputed or reasonably suspected fraudulent commissions while investigating. Adjustments will be made in good faith.

Affiliates are responsible for applicable taxes arising from their earnings. RBIA Shades may request tax documentation when required by law.

6. Refunds and Cancellations

No commissions are payable on canceled, fully refunded, fraudulent, or otherwise ineligible transactions.

Partial refunds may result in proportional commission adjustments.

If a commission has already been paid on a subsequently refunded order, the Company may offset the corresponding adjustment against future earnings, to the extent permitted by law.

7. Marketing and Promotion

Affiliates may promote RBIA Shades through approved websites, social media channels, blogs, videos, and other authorized platforms.

Affiliates must:

• Provide truthful, accurate product information.
• Clearly disclose their financial relationship with RBIA Shades.
• Comply with Federal Trade Commission endorsement and advertising guidelines.
• Respect intellectual property and applicable platform policies.
• Avoid misleading or deceptive promotional practices.

Affiliates must not make unsupported product claims, use fabricated testimonials, impersonate the Company, or misrepresent the nature of their relationship with RBIA Shades.

8. Paid Advertising

Paid advertising using RBIA Shades’ trademarks, brand name, or variations of its name requires prior written authorization.

Affiliates may not engage in unauthorized trademark bidding, misleading search advertising, or deceptive domain practices.

9. Brand Assets and Intellectual Property

RBIA Shades retains ownership of its trademarks, logos, photographs, product content, and other intellectual property.

Approved Affiliates receive a limited, nonexclusive, nontransferable, revocable permission to use Company-approved promotional assets solely for authorized Program activities.

Affiliates may not alter product features, misrepresent product appearance, or use Company materials outside the scope of the Program without permission.

Permission ends when Program participation terminates.

10. Prohibited Activities

Prohibited activities include:

• Fraudulent or self-generated referrals.
• Spam or unsolicited commercial messaging that violates applicable law.
• Misleading discount codes or unauthorized promotions.
• Cookie stuffing or artificial referral manipulation.
• Impersonating RBIA Shades or its representatives.
• Publishing false or misleading product claims.
• Using bots or other methods to generate artificial traffic.
• Unauthorized use of Company intellectual property.

Violations may result in account suspension or termination and forfeiture of commissions attributable to prohibited activity, subject to applicable law.

11. Program Changes

RBIA Shades may modify commission rates, tracking rules, payment procedures, or other Program terms by providing notice through the affiliate platform or registered email address.

Material changes affecting future commissions will apply prospectively after the stated effective date.

Commissions already validly earned under prior terms will remain subject to those terms, except for legitimate refunds, fraud, or order adjustments.

12. Termination

Either party may terminate participation in the Program by providing written notice.

RBIA Shades may suspend participation immediately where reasonably necessary to investigate suspected fraud, legal violations, or material breaches.

Following termination, eligible commissions earned before termination will remain payable under the applicable payment rules, subject to valid adjustments and applicable law.

Affiliates must discontinue use of RBIA Shades promotional materials after termination.

13. Confidentiality and Customer Information

Affiliates must protect nonpublic business information obtained through the Program.

Affiliates may not misuse customer information or collect personal information on behalf of RBIA Shades without authorization.

Each Affiliate is responsible for complying with applicable privacy and data-protection laws.

14. Disclaimer and Limitation of Liability

RBIA Shades does not guarantee any level of traffic, sales, revenue, or affiliate earnings.

To the extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, or consequential damages arising from Program participation.

Nothing in these terms excludes liability that cannot legally be excluded.

15. Governing Law

These Terms & Conditions are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles, except where otherwise required by applicable law.

16. Acceptance of Terms

By checking the agreement box during registration, the applicant confirms that they have read, understood, and agree to these Terms & Conditions.
