1) The Parties: 
This Ecommerce Affiliate Agreement
made and entered by and between Wear & Away LLC, with its principal place
of business at 480 Barnum Avenue, Bridgeport CT 06608, and you contains the
complete terms and conditions that apply to our affiliate agreement.

2) Wear & Away LLC Agrees to:
 The term of this Agreement will begin upon your
acceptance of this contract. Either party may terminate this Agreement at any
time, with or without cause, by giving the other party written notice of
termination. You are eligible to earn an agreed upon percentage of all transactions
generated from your website for Wear & Away products.

3) You Agree To:
a. Place Wear & Away products on your
website with a link to ordering from the appropriate Wear & Away URL via
a banner ad. You agree to work with Wear & Away as to best placement of
the banner ad.
 b. Observe and honor Wear & Away’s
exclusive right of ownership as to the names of its property, including but
not limited to its trademarked name and any variations thereof within all
pay-for-placement and other search engines. Wear & Away grants to you a
limited right to the use of its trademarked names solely for promotional
purposes in conjunction with the relationship as described in this Agreement.

4) Payment Procedures:
a. Wear & Away will issue payment
to you within 30 days of the end of each calendar month for all commissions
earned on sales during the prior month.

5) Tracking:
 Wear & Away will use the
Affiliately tracking program to create a unique link from your Website to
ours for ordering and tracking.
