Terms of ServiceThis agreement describes the terms of service and conditions for participation in the SNYPEX Affiliate Program (SAP). The terminology of "affiliate," "you," and "your" is regarding you, the applicant. The Terminology of "we" and "our" refers to the SNYPEX Affiliate Program. We are independent parties and this agreement does not in any way form a partnership. Program DescriptionSNYPEX’S Affiliated Program is an opportunity where you can refer other customers to SNYPEX and earn a 10% commission on every sale from the referred customer(s). When you sign up as an affiliate, you will receive a special link to our website to share on your website, blog, Facebook and Twitter pages. Any link posted to SNYPEX must be an active link. You will earn money for every customer who signs up directly from your link. There is no limit to your earnings with our affiliate program.As an affiliate you will receive the 10% commission for your sale no matter how small or large the sale price. The purpose of this program is to allow you to legally promote SNYPEX products on your site and earn a commission for qualifying purchases made by your end users. A “product” is any merchandise sold on the SNYPEX website. In order to expedite your advertisement of our products, we will give you in our discretion data, images, text, links, widgets, and other linking tools, and other information related with the program content. Content does not include data, text, images, or any other information relating to products offered on any site other than the SNYPEX site. Referral commissions can only be earned by qualified affiliates; no payments will be processed unless the affiliate’s application has previously been accepted and no payments will be process for any affiliate after notice of termination. Fees will be paid by check from SNYPEX, LLC or through the SNYPEX verified PayPal account. Any returned checks, charges, or fees from a returned order will be adjusted in the following fee payment. Referral fees can only be earned between the acceptance of the affiliate’s application and notice of termination. Any returned checks, chargeback’s, or fees from a returned order will be reimbursed to Snypex by the affiliate immediately unless other arrangements are made between Snypex and the affiliate. Enrollment To start the enrollment process you must first submit a complete and accurate program application. Make sure your website is listed clearly on your application. We will then evaluate your program application and notify you of its acceptance or rejection. If your website is found unsuitable, we will reject your Application. Unsuitable sites are include:
- Contains, promotes, or suggests violence or violent materials
- Contains, promotes, or suggests sexually explicit materials
- Contains, promotes, or suggests libelous or defamatory materials
- Contains, promotes, or suggests any type of illegal or questionable activities
- Promotes or affiliates with any discriminatory practices, involving race, sex, religion, nationality, disability, sexual orientation or age
- Any type of violation of intellectual property rights
- Promotes or contains illegal activities which includes any trademark of SNYPEX or any resemblance or misspelling of a trademark of SNYPEX in any domain, subdomain, username, or group name, or any other identifier through any type of website or social media application
- Other factors which Snypex, in its discretion, considers unsuitable
If your application is rejected, Snypex will provide and explanation for such rejection and encourages you to reapply at any time after the basis for the rejection is addressed. If your application is accepted, Snypex may nevertheless, from time to time, reevaluate your website for suitability and, if Snypex determines in its discretion that your website is unsuitable, terminate the Affiliate agreement. It is your responsibility to make certain that any personal information including email, contact info, account info, and other information on your program application is true, current, and accurate. We may send notifications, application approvals, and other communications relating to the program and this operating agreement to the email address on your program account. You are deemed to have received all notifications, approvals, and any other communications sent to the email address listed on file, even if the email address associated with your account is no longer current. Agreement DurationThis agreement initiates upon our approval of your affiliate application and will end when terminated by either party. Termination may occur at any time, with or without reason or cause, by one party giving the other written notice of termination. The termination will be effective upon delivery of such notice. ModificationBy posting a notice of change or a new agreement on this site, we reserve the right to modify any of the terms-of-service and conditions within this agreement at any time at our own discretion. These changes may involve fee schedules, referral fees, program rules, and payment procedures. If you find any of these changes unacceptable, you have the option to terminate the agreement. If you choose to continue in the program following the a change notice or a new agreement, this action will be considered an official Acceptance of this change. Commission Fees / Payment ScheduleYou will receive (10%) of the revenue as a commission from sales made through your affiliate site. For a sale to generate a commission to an affiliate, the customer must complete the order for a SNYPEX product, remit full payment for the product ordered, and receive the product. Since our products have a 30-day money back warranty, commissions are issued 45 days after the end of each month to cover the possibility that the client may return the product. You'll be paid roughly every 45 days. Payments are made via PayPal or a check will be sent. Search MarketingProtected S.E.M bidding keywords: these are keywords that affiliates are prohibited from bidding on for search marketing campaigns: Order ProcessingSNYPEX, LLC is solely responsible for processing all orders made by a customer on the affiliate.Customers who buy SNYPEX products and services through affiliate sites will be deemed Customers of SNYPEX, LLC. Prices and availability of our products and services may change from time to time. SNYPEX, LLC policies will always determine the price paid by the customer. We reserve the right to refuse any order that does not correspond with our rules, operating procedures, or policies. SpamSNYPEX, LLC in no way participates in mass unsolicited e-mails or spamming; therefore, all affiliates are required to adhere to this policy. Violation of this policy in any way will result in immediate contract termination and dismissal from the SNYPEX Affiliate Program, with no refund. DisclaimerWe make no express or implied warranties or representations with respect to the Affiliate Program or your potential to earn revenue from the Omnistar Interactive Affiliate Program. In addition, we make no claim that the operation of the SNYPEX, LLC site or the Affiliate Sites will be uninterrupted or error-free, and we will not be liable for the consequences of any type of interruptions or down time. This Agreement is governed by the laws of the United States,and the State of New York without reference to rules governing choice of laws. You may not assign this agreement, by operation of law or otherwise, without Snypex's prior written consent. This agreement is binding on and enforceable against any involved parties and their respective successors and assigns. Our failure to enforce any provision of this agreement will not constitute a waiver of our right to thereafter enforce such provision or any other provision of this agreement. By submitting this affiliate agreement form, you acknowledge that you have read and understand this agreement and agree to every term-of-service and condition, including any terms of service from the SNYPEX, LLC main website. You have solely evaluated our affiliate program and are not dependent on any representation, guarantee, or written statement other than as set forth in this agreement. *Note: NO COMMISSION is paid on purchases made by yourself. In other words, if you are a contractor, you cannot use your affiliate link to make an order for a client on their behalf. Your clients or referrals must make purchases on their own. NO COMMISSION will be paid on your original purchase or purchases made on your behalf; you may not buy our products from yourself or be your first purchase for the purpose of discounting your own product purchase price. In addition, NO COMMISSION is earned on purchases made by your employees or other related parties. Term of Service / Agreement & ProgramThe term of this agreement will commence upon our approval of your program application and will end when terminated by either party. Either party may terminate this agreement at any given time, with or without cause, by giving the other party written notice of termination. Upon the termination of this Agreement for any reason, you will immediately cease use of, and remove from your site, all links to any Product Site, and all of our trademarks, trade dress, and logos, and all other materials provided by or on behalf of us to you pursuant hereto or in connection with the Program. TerminationSNYPEX, LLC, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the program, or any other SNYPEX,LLC service, for any reason at any time. This includes all items listed in the Enrollment section. This termination in service will result in the deactivation and/or deletion of your account, access to your account, and the cancellation of all potential or upcoming sales in your account if they were earned by means of fraudulent, illegal, aggressive, or questionable sales or methods. SNYPEX, LLC reserves the right to refuse service to anyone for any reason at any time.
