Truwear Affiliate Agreement

This Affiliate Agreement (“Agreement”) is entered into by and between Truwear (“Company,” “we,” “us,” or “our”) and the individual or entity applying to or participating in the Truwear Affiliate Program (“Affiliate,” “you,” or “your”).

By applying to or participating in the Truwear Affiliate Program, you agree to the terms and conditions outlined below.

1. Eligibility

At this time, Truwear does not accept international affiliates. Participation in the Affiliate Program is limited to affiliates located within the United States. Truwear reserves the right to approve or deny any affiliate application at its sole discretion.

2. Affiliate Relationship

This Agreement does not create any partnership, joint venture, agency, franchise, or employment relationship between Truwear and the Affiliate. The Affiliate is an independent contractor and is solely responsible for their own business activities, taxes, and compliance with applicable laws.

3. Commission Structure

• Affiliates will earn a 10% commission on qualifying purchases made through their approved affiliate link, unless otherwise agreed upon in writing by Truwear.
• Commission rates are subject to change at Truwear’s discretion with notice to the Affiliate.

4. Commission Payouts

• Commission payouts will be issued only after the Affiliate has accrued a minimum of $100 USD in earned commissions.
• Commissions below the $100 threshold will roll over until the minimum payout amount is met.
• Truwear reserves the right to withhold commissions for returns, refunds, chargebacks, fraudulent activity, or violations of this Agreement.

5. Marketing & Promotional Guidelines

Affiliates agree to:

• Represent Truwear accurately and professionally
• Avoid false, misleading, or deceptive claims
• Comply with all applicable advertising laws, including FTC disclosure requirements
• Not engage in spam, unethical marketing practices, or misuse of Truwear branding or trademarks

Truwear reserves the right to request the removal or modification of any affiliate content that does not align with brand standards.

6. Termination

Truwear reserves the right to discontinue or terminate an affiliate partnership at any time, for any reason, with or without notice.

Upon termination:

• The Affiliate must immediately discontinue use of all Truwear affiliate links, branding, and promotional materials
• Any unpaid commissions may be forfeited if termination results from a violation of this Agreement

7. Modifications to the Agreement

Truwear may update or modify this Agreement at any time. Continued participation in the Affiliate Program after changes are made constitutes acceptance of the revised Agreement.

8. Limitation of Liability

Truwear shall not be liable for any indirect, incidental, or consequential damages arising from participation in the Affiliate Program, including loss of revenue or profits.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state in which Truwear operates, without regard to conflict of law principles.

10. Acceptance

By applying to or participating in the Truwear Affiliate Program, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement.
