NutriCartel Affiliate Program Terms & Conditions

These NutriCartel Affiliate Program Terms & Conditions (“Affiliate Terms”) govern participation in the NutriCartel affiliate, creator, ambassador, referral, and promotional program (collectively, the “Affiliate Program”).
These Affiliate Terms constitute a binding agreement between NutriCartel (“NutriCartel,” “NC,” “we,” “us,” or “our”) and each individual or entity participating in the Affiliate Program (“Affiliate,” “Creator,” “you,” or “your”).
By applying for, enrolling in, accessing, or participating in the Affiliate Program, using a NutriCartel Affiliate link or discount code, or accepting any commission or other benefit through the Affiliate Program, you acknowledge that you have read, understood, and agree to these Affiliate Terms.
These Affiliate Terms supplement the NutriCartel Terms & Conditions available on the NutriCartel website (“Website Terms”). The Website Terms are incorporated into these Affiliate Terms by reference. If these Affiliate Terms conflict with the Website Terms concerning participation in the Affiliate Program, these Affiliate Terms will control with respect to the Affiliate Program.
1. Purpose of the Affiliate Program
The purpose of the Affiliate Program is to compensate approved Affiliates for bona fide promotional efforts that introduce, refer, influence, re-engage, or otherwise generate customers and purchases for NutriCartel.
The Affiliate Program is not intended to compensate an Affiliate merely because an Affiliate discount code, referral link, cookie, tracking identifier, or other attribution mechanism happens to be associated with a transaction.
The use of an Affiliate discount code, the presence of a tracking cookie, a click on an Affiliate link, or attribution recorded by Affiliate software does not, by itself, establish that a commission has been earned. Commissions are earned only on Qualified Referrals as determined under these Affiliate Terms.
The Affiliate Program is not intended to function as a general coupon-reimbursement program for purchases that customers would have made independently of an Affiliate’s promotional activity.
2. Eligibility and Acceptance
Participation in the Affiliate Program is subject to NutriCartel’s approval.
NutriCartel may approve or reject an application in its discretion and is not required to provide a reason for its decision.
Affiliates must provide accurate, current, and complete information and must promptly update such information when necessary.
Unless otherwise approved in writing, Affiliates must be at least eighteen (18) years old or the age of legal majority in their jurisdiction, whichever is greater.
Participation in the Affiliate Program does not guarantee continued participation, future commissions, sales, traffic, promotional opportunities, discount levels, compensation, or any particular amount of earnings.
U.S. Residency and International Affiliates
The NutriCartel Affiliate Program is primarily intended for U.S. residents.
NutriCartel may, on a case-by-case basis and in its discretion, approve applicants located outside the United States. Approval of a non-U.S. Affiliate does not guarantee continued eligibility or create a right to permanent participation in the Affiliate Program.
NutriCartel may restrict, suspend, or discontinue the participation of an Affiliate located outside the United States when reasonably necessary due to legal or regulatory requirements, tax or reporting obligations, payment limitations, sanctions or trade restrictions, fraud or compliance concerns, operational considerations, changes to the Affiliate Program, or NutriCartel's decision to discontinue or limit the Program within a particular country or jurisdiction.
Where reasonably practicable, NutriCartel may provide notice of such a change. However, NutriCartel reserves the right to take immediate action when necessary for legal, regulatory, compliance, fraud-prevention, payment, operational capacity or similar reasons.
Non-U.S. Affiliates are responsible for complying with the laws applicable to them and for providing any tax, identity, payment, or other documentation reasonably requested by NutriCartel or its payment providers.
3. Qualified Referrals
A “Qualified Referral” is a transaction that NutriCartel reasonably determines resulted from an Affiliate’s bona fide, authorized promotional activities and otherwise complies with these Affiliate Terms.
The Affiliate Program is intended to compensate Affiliates for customer acquisition and genuine promotional influence. A transaction may qualify whether the customer is a new or existing NutriCartel customer, provided NutriCartel reasonably determines that the Affiliate introduced, referred, influenced, re-engaged, or otherwise materially contributed to the applicable purchase.
When determining whether a transaction constitutes a Qualified Referral, NutriCartel may consider relevant information reasonably available to it, including:
- Referral and attribution data;
- Traffic sources;
- Discount-code usage;
- Timing and purchase behavior;
- Customer purchase history;
- Patterns of Affiliate-code usage across prior transactions;
- Affiliate promotional activity;
- Third-party Affiliate-platform information;
- Coupon and promotional-code distribution;
- Technical data;
- Fraud indicators;
- Conversion patterns;
- Customer acquisition or re-engagement circumstances; and
- Any other information reasonably relevant to determining the source or legitimacy of a transaction.
A transaction is not necessarily a Qualified Referral merely because:
- A customer used the Affiliate’s discount code;
- A customer clicked an Affiliate link;
- Affiliate software attributed the transaction to the Affiliate;
- A tracking cookie or similar technology was present;
- A commission appeared in an Affiliate dashboard;
- An Affiliate received an automated commission notification; or
- A transaction was initially shown as pending, approved, payable, or otherwise commissionable.
NutriCartel may evaluate the substance of the referral rather than relying solely on technical attribution.
For existing or repeat customers, NutriCartel may consider whether the Affiliate reasonably influenced the specific purchase rather than merely whether the Affiliate’s discount code was entered at checkout.
Repeat-customer status alone does not make an order non-qualifying. However, prior purchase history, referral activity, and patterns involving the use of different, unrelated, or rotating Affiliate codes may be considered when determining whether the transaction was genuinely generated or influenced by the Affiliate.
4. Non-Qualifying Transactions
NutriCartel may determine that a transaction is not a Qualified Referral if the transaction was not reasonably generated through the Affiliate’s bona fide promotional efforts, was improperly attributed, or otherwise violates these Affiliate Terms.
Non-qualifying transactions may include, without limitation, transactions associated with:
- Coupon websites;
- Discount-code websites;
- Deal websites;
- Promotional-code aggregators;
- Browser extensions or browser add-ons;
- Automated coupon-finding services;
- Cashback, rewards, or loyalty platforms not expressly approved by NutriCartel;
- Search-engine results intended primarily to surface promotional or discount codes;
- Artificial intelligence services, AI assistants, chatbots, large language models, or AI-powered search services where the Affiliate code or link is surfaced independently of the Affiliate's bona fide promotional content or efforts;
- Code-scraping or code-harvesting services;
- Unauthorized third-party applications;
- Unauthorized paid advertisements;
- Unauthorized search-engine marketing;
- Unauthorized social-media advertising;
- Trademark bidding;
- Cookie stuffing;
- Forced clicks;
- Click injection;
- Attribution hijacking;
- Misleading redirects;
- Bots;
- Automated or artificial traffic;
- Fraudulent transactions;
- Manipulated transactions;
- Self-referrals where prohibited by NutriCartel;
- Cancelled orders;
- Refunded orders;
- Returned orders;
- Chargebacks;
- Payment disputes;
- Duplicate transactions;
- Orders NutriCartel cannot reasonably verify;
- Transactions otherwise improperly attributed to an Affiliate;
- Transactions from existing or repeat customers where NutriCartel reasonably determines that the Affiliate did not generate, influence, or materially contribute to the applicable purchase;
- Transactions where a repeat customer appears to have selected or rotated among different or unrelated Affiliate codes primarily to obtain a discount rather than as a result of genuine Affiliate promotion;
- Transactions where a customer independently intended to purchase from NutriCartel and obtained an Affiliate code from a third-party source solely or primarily to reduce the purchase price; or
- Any other transaction NutriCartel reasonably determines was not generated through legitimate Affiliate promotional activity.
These examples are illustrative and are not intended to be exhaustive.
5. Third-Party Scraping and Unauthorized Code Distribution
Affiliates may not intentionally submit, publish, distribute, syndicate, upload, provide, or otherwise make their NutriCartel discount codes or Affiliate links available to unauthorized coupon websites, deal aggregators, code repositories, browser extensions, coupon applications, discount-code databases, or similar services.
Affiliates may not knowingly encourage, assist, or facilitate such distribution.
NutriCartel recognizes that third parties may sometimes scrape, copy, reproduce, index, or redistribute an Affiliate’s code without the Affiliate’s knowledge or authorization. However, unauthorized publication or possession of an Affiliate’s code by a third party does not make transactions originating through that source commissionable.
NutriCartel may classify a transaction as non-qualifying when a customer obtained, or NutriCartel reasonably determines the customer likely obtained, the Affiliate’s discount code through a coupon website, search engine, browser extension, AI service, aggregator, scraper, discount-code application, or other source unrelated to the Affiliate’s bona fide promotional efforts.
Removal or reversal of a commission under this section does not necessarily mean NutriCartel has determined that the Affiliate personally submitted the code to the third-party source. It may instead reflect NutriCartel’s determination that the particular transaction was not generated or materially influenced by the Affiliate and therefore does not constitute a Qualified Referral.
6. Coupon and Promotional Code Policy
Affiliate discount codes are intended to support an Affiliate’s genuine promotional activity and audience.
An Affiliate discount code is a customer promotional benefit and an attribution tool. Use of a discount code does not independently establish that the Affiliate generated or influenced the transaction and does not automatically create an entitlement to commission.
Affiliates may promote their codes through approved channels, including their own social-media accounts, original content, communities, websites, email audiences, or other channels permitted by NutriCartel.
Affiliates may not intentionally use their code primarily to capture customers who have already independently decided to purchase from NutriCartel and are merely searching for a discount before checkout.
NutriCartel customers are not required to remain associated with any particular Affiliate. However, repeated use of different or unrelated Affiliate codes by the same established customer may be considered as part of NutriCartel’s attribution review.
Where such activity reasonably indicates that the customer is independently purchasing from NutriCartel and selecting whichever promotional code is available at the time of checkout, the transaction may be treated as non-qualifying notwithstanding successful application of the Affiliate discount.
NutriCartel may distinguish between:
- An Affiliate genuinely introducing, referring, re-engaging, recommending a product to, or otherwise influencing an existing customer; and
- An existing customer independently deciding to purchase and subsequently locating an Affiliate code primarily to obtain a discount.
The first may constitute a Qualified Referral. The second may be deemed non-qualifying.
Affiliates may not submit or publish their codes on websites or services whose primary or substantial purpose is to aggregate, rank, index, or display coupon or promotional codes. This includes pages designed to rank or appear prominently for searches such as:
- “NutriCartel discount code”;
- “NutriCartel coupon”;
- “NutriCartel promo code”;
- “NutriCartel coupon code”;
- “NutriCartel discount”; or
- Substantially similar search terms.
NutriCartel may request that an Affiliate take reasonable steps to seek removal of unauthorized code listings associated with that Affiliate. The existence of an unauthorized listing does not require NutriCartel to pay commissions attributable to that listing.
A customer may receive the applicable discount associated with an Affiliate code even when NutriCartel determines that the transaction does not constitute a Qualified Referral and no Affiliate commission is payable.
7. Paid Advertising and Search Marketing
Unless NutriCartel provides prior written authorization, Affiliates may not use paid advertising to promote NutriCartel, NutriCartel products, their NutriCartel discount code, or their NutriCartel Affiliate link.
Prohibited paid advertising may include advertisements through:
- Google;
- Bing;
- Other search engines;
- Meta platforms;
- TikTok;
- YouTube;
- Social-media advertising platforms;
- Shopping platforms;
- Display advertising networks; or
- Similar paid-acquisition services.
Affiliates may not bid on or purchase keywords containing NutriCartel trademarks, brand names, product names, domain names, misspellings, variations, or confusingly similar terms unless NutriCartel provides prior written authorization.
Affiliates may not create advertisements, websites, landing pages, accounts, or other materials that reasonably imply they are NutriCartel or an official NutriCartel property.
8. Misleading or Deceptive Promotions
Affiliates must accurately represent NutriCartel discounts, promotions, products, pricing, availability, and offers.
Affiliates may not:
- Claim a discount is greater than it actually is;
- Advertise an expired promotion as active;
- Falsely claim that a code is exclusive;
- Misrepresent product pricing or availability;
- Create materially false urgency or scarcity;
- Impersonate NutriCartel;
- Make false or misleading claims regarding NutriCartel or its products;
- Materially misrepresent the nature of their relationship with NutriCartel; or
- Otherwise use deceptive promotional practices.
For example, an Affiliate may not advertise a code as providing 25% off if the code actually provides 15% off.
9. Provisional Commission Tracking
NutriCartel may use third-party software or technology to track referrals, discount codes, transactions, and commissions. Affiliate tracking systems are not infallible. Automated attribution may sometimes assign commissions to transactions that do not qualify under these Affiliate Terms.
Accordingly, all commissions shown within an Affiliate dashboard are provisional and remain subject to review, verification, adjustment, cancellation, withholding, or reversal.
The appearance of a commission within an Affiliate dashboard does not constitute:
- Final approval;
- Confirmation that the transaction is a Qualified Referral;
- An unconditional entitlement to payment;
- An acknowledgment that NutriCartel owes the Affiliate the displayed amount; or
- A waiver of NutriCartel’s right to review or adjust the transaction.
Automated attribution or approval by third-party Affiliate software does not prevent NutriCartel from subsequently reviewing or reversing a commission.
10. Manual Reviews and Commission Audits
NutriCartel may conduct automated or manual reviews of Affiliate activity at any time.
Reviews may occur:
- Before payment;
- After initial attribution;
- After an automated system marks a commission as approved;
- Periodically;
- Monthly;
- When unusual activity is detected;
- Following significant changes in conversion or commission volume;
- In response to suspected repeat-customer code rotation;
- In response to suspected coupon aggregation;
- In response to suspected fraud or abuse; or
- Whenever NutriCartel otherwise reasonably determines that a review is appropriate.
A manual or automated review may result in commissions being:
- Approved;
- Withheld;
- Adjusted;
- Cancelled;
- Denied; or
- Reversed.
A sudden increase in commission volume, conversion rate, discount-code usage, or other unusual activity may result in additional review but does not, by itself, establish wrongdoing.
11. Commission Reversals and Adjustments
NutriCartel may withhold, reject, cancel, adjust, or reverse commissions associated with transactions NutriCartel reasonably determines are:
- Non-qualifying;
- Improperly attributed;
- Cancelled;
- Returned;
- Refunded;
- Charged back;
- Disputed;
- Fraudulent;
- Suspicious;
- Generated through prohibited promotional activity;
- Associated with unauthorized coupon or code distribution;
- Attributable to third-party discount-code discovery rather than bona fide Affiliate promotion;
- Associated with repeat-customer code rotation or discount-seeking behavior rather than genuine Affiliate influence;
- Generated in violation of these Affiliate Terms; or
- Otherwise ineligible for commission.
Adjustments may occur after a commission initially appears in an Affiliate dashboard.
Where permitted by applicable law, NutriCartel may offset amounts previously credited or paid in error against current or future Affiliate commissions.
12. Commission Determinations
All commissions are subject to NutriCartel’s review and verification before they are considered earned and payable.
NutriCartel’s determination regarding whether a transaction constitutes a Qualified Referral and whether a commission is eligible for payment will be final for purposes of administering the Affiliate Program, except where otherwise required by applicable law.
Affiliates may contact NutriCartel with questions regarding their commissions. However, the Affiliate Program does not provide a formal appeal, individualized audit, evidentiary hearing, or order-by-order dispute process.
NutriCartel is not obligated to reconsider a commission determination or provide documentation supporting individual commission adjustments except where required by applicable law or valid legal process.
NutriCartel may voluntarily review or reconsider a commission determination at any time.
Any voluntary review, reconsideration, explanation, accommodation, or disclosure in one instance:
- Does not create a right to similar treatment in another instance;
- Does not establish a continuing appeals process;
- Does not waive these Affiliate Terms; and
- Does not require NutriCartel to provide the same information or review to other Affiliates.
13. Customer Information and Order-Level Disclosure
Affiliate commission reviews are internal business processes.
Except where required by applicable law or valid legal process, NutriCartel is not required to provide an Affiliate with:
- Customer names;
- Customer email addresses;
- Customer telephone numbers;
- Customer addresses;
- Payment information;
- Individual customer order records;
- Individual order IDs;
- Customer browsing information;
- Customer behavioral information;
- Customer purchase histories;
- IP addresses;
- Device information;
- Internal screenshots;
- Fraud-detection information;
- Referral logs;
- Server logs;
- Internal investigation notes;
- Internal review records;
- Internal review criteria;
- Proprietary attribution methodology;
- Fraud-detection rules;
- Fraud-detection thresholds;
- Blocked website lists;
- Information regarding other Affiliates;
- Third-party fraud or attribution data;
- Individualized evidence supporting each commission adjustment;
- A monthly aggregate breakdown of reversals categorized by reason; or
- Order-by-order reports explaining each approved, denied, adjusted, or reversed commission.
NutriCartel may provide aggregate information regarding commission adjustments at its discretion.
Participation in the Affiliate Program does not provide an Affiliate with ownership of, or unrestricted access to, NutriCartel customer information merely because the Affiliate’s code, link, cookie, or tracking identifier was associated with a customer transaction.
14. Confidentiality of Review and Fraud-Detection Methods
NutriCartel’s fraud-prevention systems, attribution methodologies, commission-review processes, detection criteria, internal procedures, data sources, thresholds, investigative methods, and enforcement techniques constitute confidential and proprietary business information.
NutriCartel is not required to disclose information that could reasonably facilitate circumvention, manipulation, or exploitation of its Affiliate attribution, fraud-prevention, commission-review, or enforcement systems, except as required by applicable law or valid legal process.
15. Affiliate Responsibility for Codes and Links
Affiliates are responsible for exercising reasonable care in distributing their NutriCartel Affiliate codes and links.
Affiliates should promptly notify NutriCartel if they discover their code or Affiliate link being distributed through an unauthorized source.
Notification does not guarantee that transactions originating from or attributable to the unauthorized source will qualify for commission.
NutriCartel may replace, disable, modify, restrict, or terminate any discount code or Affiliate link when NutriCartel reasonably determines that doing so is appropriate to protect NutriCartel or the integrity of the Affiliate Program.
16. Commission Rates and Program Economics
Commission rates, Affiliate discount amounts, promotional benefits, payout thresholds, attribution windows, payment schedules, and other Affiliate Program economics may be established or modified by NutriCartel from time to time, subject to applicable law.
Unless NutriCartel expressly agrees otherwise in writing, participation in the Affiliate Program does not guarantee any particular:
- Commission rate;
- Discount percentage;
- Payout structure;
- Affiliate benefit;
- Attribution period; or
- Promotional arrangement indefinitely.
17. Payments
Approved commissions will be paid according to NutriCartel’s then-current Affiliate payment procedures and applicable payout requirements.
NutriCartel may delay payment while reviewing:
- Suspected fraud;
- Suspected abuse;
- Attribution issues;
- Returns;
- Refunds;
- Chargebacks;
- Payment disputes;
- Unusual traffic;
- Unusual repeat-customer or code-use patterns;
- Policy violations;
- Coupon-source issues; or
- Other circumstances affecting commission eligibility.
Affiliates are responsible for providing accurate payment, tax, and account information.
Non-U.S. Affiliates are responsible for providing any tax, identity, payment, or other documentation reasonably requested by NutriCartel or its payment providers and for complying with tax and reporting obligations applicable in their jurisdiction.
NutriCartel is not responsible for delays caused by:
- Inaccurate Affiliate information;
- Third-party payment providers;
- Banking institutions;
- Tax-document deficiencies; or
- Circumstances outside NutriCartel’s reasonable control.
18. Affiliate Dashboard and Reporting
Affiliate dashboard information is provided for informational purposes and remains subject to adjustment.
Dashboard information may be incomplete, delayed, inaccurate, or subsequently modified because of:
- Technical limitations;
- Third-party tracking limitations;
- Customer returns;
- Cancellations;
- Refunds;
- Chargebacks;
- Fraud reviews;
- Attribution corrections;
- Repeat-customer attribution reviews;
- Delayed data;
- Manual reviews; or
- Other circumstances affecting commission eligibility.
NutriCartel does not guarantee that third-party Affiliate software will automatically identify every prohibited or non-qualifying transaction.
The need for a manual adjustment does not invalidate that adjustment merely because an automated system initially attributed the transaction to the Affiliate.
19. FTC and Advertising Compliance
Affiliates must comply with all applicable advertising, endorsement, consumer-protection, disclosure, and marketing laws and regulations.
Affiliates are responsible for making all legally required disclosures regarding their relationship with NutriCartel, including disclosures required by applicable Federal Trade Commission guidance and regulations.
Affiliates must ensure that any material connection to NutriCartel is clearly and conspicuously disclosed where required.
Affiliates are solely responsible for ensuring that their promotional content complies with applicable law.
20. Intellectual Property
NutriCartel grants approved Affiliates a limited, revocable, non-exclusive, non-transferable license to use NutriCartel trademarks, logos, product images, promotional materials, and other approved brand assets solely for authorized participation in the Affiliate Program.
No ownership rights are transferred. NutriCartel may revoke this permission at any time.
Affiliates may not, without NutriCartel’s prior written consent:
- Materially alter NutriCartel branding in a misleading manner;
- Register domain names incorporating NutriCartel trademarks;
- Register social-media accounts that imply official NutriCartel status;
- Use NutriCartel intellectual property outside authorized Affiliate promotion;
- Impersonate NutriCartel; or
- Represent themselves as an employee, agent, partner, franchisee, or official representative of NutriCartel.
21. Independent Contractor Relationship
Affiliates participate in the Affiliate Program as independent contractors.
Nothing in these Affiliate Terms creates an:
- Employment relationship;
- Agency;
- Partnership;
- Franchise;
- Fiduciary relationship;
- Joint venture; or
- Similar relationship between NutriCartel and an Affiliate.
Affiliates have no authority to bind NutriCartel, incur obligations on NutriCartel’s behalf, or make representations on behalf of NutriCartel.
Affiliates are responsible for their own taxes, expenses, equipment, insurance, licenses, permits, and legal obligations arising from their Affiliate activities.
22. No Guarantee of Earnings
NutriCartel makes no representation, warranty, or guarantee regarding the amount of:
- Traffic;
- Sales;
- Conversions;
- Commissions;
- Revenue;
- Promotional opportunities; or
- Other benefits an Affiliate may receive.
Past performance does not guarantee future results.
23. Violations
Violation of these Affiliate Terms may result in one or more of the following actions:
- Warning;
- Suspension;
- Removal of promotional privileges;
- Disabling of Affiliate codes;
- Disabling of Affiliate links;
- Withholding of pending commissions;
- Denial of commissions;
- Cancellation or reversal of non-qualifying commissions;
- Modification or removal of Affiliate benefits;
- Termination from the Affiliate Program; or
- Other reasonable action necessary to protect NutriCartel or the integrity of the Affiliate Program.
NutriCartel may consider the nature, severity, frequency, circumstances, and impact of a violation when determining an appropriate response.
NutriCartel is not required to issue a warning before taking action.
NutriCartel’s failure to immediately suspend or terminate an Affiliate after discovering a violation does not waive NutriCartel’s right to enforce these Affiliate Terms or adjust commissions associated with that violation.
24. Suspension and Termination
NutriCartel may suspend or terminate an Affiliate’s participation in the Affiliate Program, with or without prior notice, subject to applicable law.
NutriCartel may terminate participation for reasons including, without limitation:
- Violation of these Affiliate Terms;
- Suspected fraud or abuse;
- Manipulation of attribution;
- Unauthorized code distribution;
- Misleading promotional activity;
- Misuse of NutriCartel intellectual property;
- Conduct harmful to NutriCartel or the Affiliate Program;
- Prolonged inactivity; or
- Discontinuation or modification of the Affiliate Program.
NutriCartel may also suspend or terminate participation by a non-U.S. Affiliate if NutriCartel determines that it will no longer operate or support the Affiliate Program in the Affiliate's country or jurisdiction, subject to applicable law.
Upon suspension or termination, the Affiliate must discontinue use of NutriCartel Affiliate links, codes, trademarks, confidential materials, and other Affiliate Program resources as directed by NutriCartel.
Termination does not create an entitlement to commissions associated with transactions that were not Qualified Referrals.
Commissions validly earned on Qualified Referrals before termination will be handled in accordance with these Affiliate Terms and applicable law.
25. Investigations
NutriCartel may investigate suspected:
- Violations;
- Fraud;
- Abuse;
- Attribution irregularities;
- Unusual traffic;
- Unusual conversion behavior;
- Repeat-customer or rotating-code patterns;
- Unauthorized code distribution; or
- Other activity affecting Affiliate Program integrity.
Affiliates agree to reasonably cooperate with legitimate Affiliate Program investigations.
NutriCartel may temporarily withhold affected commissions while an investigation is pending.
NutriCartel is not obligated to disclose confidential investigative techniques, proprietary detection methods, customer information, or information that could compromise the effectiveness of its enforcement systems.
26. Customer Relationship and Customer Data
Customers purchasing through NutriCartel are NutriCartel customers.
Participation in the Affiliate Program does not grant an Affiliate ownership of or unrestricted access to NutriCartel customer information.
An Affiliate has no entitlement to personally identifiable customer information merely because the Affiliate’s code, Affiliate link, tracking cookie, or other identifier was associated with a customer transaction.
Customer information will be handled in accordance with NutriCartel’s Privacy Policy and applicable legal requirements.
27. Program Integrity
The Affiliate Program exists to reward legitimate customer acquisition, customer re-engagement, and promotional activity.
Conduct or attribution that results primarily in an Affiliate receiving commission credit without genuinely generating, introducing, influencing, re-engaging, or contributing to the underlying customer transaction is inconsistent with the purpose of the Affiliate Program.
The Affiliate Program is not intended to function as a general coupon-reimbursement program for purchases that established NutriCartel customers would have made independently.
NutriCartel may evaluate patterns of customer behavior, including repeated purchases, historical purchasing activity, referral activity, and the use of multiple or rotating Affiliate codes, when determining whether a transaction represents legitimate Affiliate influence or primarily reflects a customer seeking an available discount.
No customer is prohibited from using an available Affiliate discount code solely because they have previously purchased from NutriCartel, and repeat-customer transactions are not automatically excluded from Affiliate commissions.
However, NutriCartel may determine that a commission is not earned when the available evidence reasonably indicates that the Affiliate did not generate or materially influence the applicable transaction.
NutriCartel may evaluate substance over technical attribution when determining commission eligibility. No Affiliate is entitled to commission merely because an attribution mechanism technically assigns a transaction to that Affiliate.
28. Confidential Information
Affiliates may receive non-public business, financial, promotional, technical, product, campaign, commission, or operational information from NutriCartel.
Affiliates must use reasonable care to protect such confidential information and may use it only for authorized participation in the Affiliate Program.
Affiliates may not disclose NutriCartel confidential information to third parties except:
- With NutriCartel’s written authorization;
- To professional advisers who are obligated to maintain confidentiality; or
- As required by applicable law or valid legal process.
This section does not apply to information that the Affiliate can establish:
- Was publicly available through no breach of these Affiliate Terms;
- Was lawfully known before disclosure;
- Was lawfully received from a third party without confidentiality restrictions; or
- Was independently developed without use of NutriCartel confidential information.
29. Modifications to the Affiliate Program
NutriCartel may modify these Affiliate Terms or the Affiliate Program from time to time, subject to applicable law.
Changes may include modifications to:
- Commission rates;
- Discounts;
- Qualification criteria;
- Attribution requirements;
- Payout procedures;
- Prohibited activities;
- Tracking practices;
- Affiliate benefits;
- Promotional rules; or
- Other Program features.
The applicable “Last Updated” date will reflect the most recent revision.
Where required by applicable law, NutriCartel will provide notice before material changes become effective for existing Affiliates.
Continued participation in the Affiliate Program after revised Affiliate Terms become effective constitutes acceptance of the revised Affiliate Terms to the extent permitted by law.
If an Affiliate does not agree to revised Affiliate Terms, the Affiliate must discontinue participation in the Affiliate Program.
30. Limitation of Liability
To the fullest extent permitted by applicable law, NutriCartel will not be liable to an Affiliate for indirect, incidental, special, exemplary, punitive, consequential, or speculative damages, including lost profits, lost opportunities, lost goodwill, lost business, or loss of anticipated commissions, arising from or related to the Affiliate Program.
To the fullest extent permitted by applicable law, NutriCartel’s aggregate liability arising out of or relating to the Affiliate Program will not exceed the total commissions actually paid by NutriCartel to the Affiliate during the twelve (12) months immediately preceding the event giving rise to the claim.
Nothing in this section limits liability to the extent such limitation is prohibited by applicable law.
31. Indemnification
To the fullest extent permitted by applicable law, the Affiliate agrees to indemnify, defend, and hold harmless NutriCartel and its owners, officers, employees, agents, contractors, affiliates, and representatives from claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable attorneys’ fees arising out of or relating to:
- The Affiliate’s promotional activities;
- The Affiliate’s violation of these Affiliate Terms;
- False or misleading statements made by the Affiliate;
- The Affiliate’s failure to make legally required disclosures;
- Infringement or alleged infringement of third-party rights by Affiliate content;
- The Affiliate’s violation of applicable law; or
- The Affiliate’s misuse of NutriCartel intellectual property.
32. Governing Law, Arbitration, and Class Action Waiver
These Affiliate Terms supplement and are incorporated into the NutriCartel Website Terms.
The Mandatory Arbitration & Class Action Waiver and Governing Law & Venue provisions contained in the NutriCartel Website Terms are incorporated into these Affiliate Terms by reference and apply, to the fullest extent permitted by applicable law, to disputes arising out of or relating to:
- These Affiliate Terms;
- Participation in the Affiliate Program;
- Affiliate eligibility;
- Referral attribution;
- Qualified Referrals;
- Commissions;
- Commission approvals;
- Commission denials;
- Commission adjustments;
- Commission withholding;
- Commission cancellations;
- Commission reversals;
- Discount codes;
- Affiliate links;
- Affiliate Program investigations;
- Affiliate Program reviews;
- Suspension;
- Termination;
- Alleged violations of these Affiliate Terms;
- Decisions made by NutriCartel in connection with the Affiliate Program; or
- Any act or omission by NutriCartel relating to the Affiliate Program.
To the fullest extent permitted by applicable law, disputes subject to arbitration shall be resolved through binding arbitration in Cheyenne, Wyoming, administered by the American Arbitration Association (“AAA”), consistent with the applicable provisions of the Website Terms.
To the fullest extent permitted by applicable law, Affiliates waive the right to:
- Bring or join a class action;
- Participate in class arbitration; or
- Pursue claims in court except for claims qualifying for small claims court or where otherwise required by applicable law.
These Affiliate Terms and disputes relating to the Affiliate Program shall be governed by the laws of the State of Wyoming, except to the extent superseded by applicable federal law or otherwise provided in the Website Terms.
The arbitration, class-action waiver, governing-law, and applicable venue provisions survive suspension or termination of participation in the Affiliate Program.
33. No Formal Affiliate Appeals Process
NutriCartel may receive and respond to Affiliate questions concerning commissions or Affiliate Program administration.
However, nothing in these Affiliate Terms creates a contractual right to:
- A formal appeal;
- An evidentiary hearing;
- A second review;
- An internal arbitration process;
- An individualized commission audit;
- Customer-level evidence;
- An order-by-order accounting;
- A monthly categorical breakdown of adjustments or reversals;
- Disclosure of proprietary attribution methods; or
- Reconsideration of NutriCartel’s Affiliate Program determination.
NutriCartel may voluntarily review a matter when it determines doing so is appropriate.
A voluntary review does not create an ongoing obligation, precedent, course of dealing, or right to review in any future matter.
Nothing in this section limits any right that cannot lawfully be waived or prevents an Affiliate from pursuing a claim through the applicable legal dispute-resolution process.
34. No Waiver
NutriCartel’s failure to enforce any provision of these Affiliate Terms in a particular instance does not constitute a waiver of that provision or NutriCartel’s right to enforce it in the future.
Approval, payment, review, reconsideration, or treatment of one transaction does not require NutriCartel to approve, pay, review, reconsider, or treat another transaction in the same manner.
Any waiver by NutriCartel must be in writing and authorized by NutriCartel.
35. Severability
If any provision of these Affiliate Terms is determined to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by applicable law.
The remaining provisions will remain in full force and effect.
36. Entire Affiliate Agreement
These Affiliate Terms, together with the NutriCartel Website Terms and any policies, commission schedules, campaign-specific terms, written offers, or other terms expressly incorporated by reference, constitute the agreement governing participation in the Affiliate Program.
Informal communications, social-media messages, customer-service communications, conversations, or prior practices do not modify these Affiliate Terms unless NutriCartel expressly agrees to a modification in writing through an authorized representative.
If a campaign or Affiliate arrangement includes additional written terms, those additional terms will apply to that campaign or arrangement.
37. Survival
Provisions that by their nature should survive termination of participation in the Affiliate Program will survive, including provisions concerning:
- Commission reviews and adjustments;
- Customer information;
- Confidentiality;
- Intellectual property;
- Indemnification;
- Limitations of liability;
- Arbitration;
- Class-action waiver;
- Governing law;
- Disputes; and
- Accrued rights and obligations.

Affiliate Acknowledgment
By participating in the NutriCartel Affiliate Program, you acknowledge and agree that:
- Commissions are paid for Qualified Referrals and not merely because a discount code is used.
- Repeat-customer transactions, including transactions involving the use of multiple or rotating Affiliate codes, may be reviewed to determine whether the Affiliate genuinely generated or materially influenced the applicable purchase.
- A repeat customer is not automatically excluded from generating a commission, but the Affiliate must still have generated, influenced, re-engaged, or materially contributed to the applicable transaction.
- A customer may receive the discount associated with an Affiliate code even when the transaction does not qualify for an Affiliate commission.
- Third-party Affiliate tracking and dashboard attribution are provisional.
- NutriCartel may manually review Affiliate transactions.
- Commissions may be withheld, denied, adjusted, cancelled, or reversed when transactions do not qualify.
- Unauthorized scraping or publication of an Affiliate code does not make resulting transactions commissionable.
- Transactions where an Affiliate code or link is obtained through coupon sites, browser extensions, search engines, AI services, discount aggregators, or similar sources independently of the Affiliate's bona fide promotional efforts may be non-qualifying.
- NutriCartel does not provide a formal internal Affiliate appeals process.
- NutriCartel is not ordinarily required to provide customer order IDs, customer-level information, individualized evidence, monthly categorical reversal reports, or order-by-order commission audit reports.
- NutriCartel may protect confidential attribution, review, fraud-detection, and enforcement methods.
- Continued participation in the Affiliate Program is subject to these Affiliate Terms and the NutriCartel Website Terms.
- The Affiliate Program is primarily intended for individuals and entities located in the United States. Participation by non-U.S. Affiliates is subject to NutriCartel's approval and may be restricted, suspended, or discontinued as provided in these Affiliate Terms.
