Affiliate Agreement
This Affiliate Agreement (the "Agreement") is made between GO DENT LTD (Trading as Dent & Go), a company registered in United Kingdom, with its registered office at C/O VPC Accountants, 2nd floor, 2B, Theobald Street, Borehamwood WD6 4SE ("the Company"), and you ("the Affiliate").
1. Definitions
1.1 "Affiliate" refers to the individual or entity that agrees to promote the Company's products in exchange for a commission.
1.2 "Products" refer to the items sold by the Company.
1.3 "Commission" refers to the payment the Affiliate receives for generating sales, as described in Section 4.
1.4 "Net Sales" refers to the total amount received by the Company from customers for Products, excluding VAT, shipping, returns, and other discounts.
2. Affiliate Responsibilities
2.1 The Affiliate agrees to promote the Company's Products through their website, social media, email marketing, or other channels as approved by the Company.
2.2 The Affiliate will ensure that all promotional activities comply with applicable laws, regulations, and the Company's marketing guidelines.
2.3 The Affiliate must not engage in any deceptive, misleading, or unethical marketing practices.
3. Company's Responsibilities
3.1 The Company will provide the Affiliate with necessary marketing materials, including banners, links, and promotional content.
3.2 The Company will track sales generated through the Affiliate's unique referral links and provide regular reports on the Affiliate's performance.
4. Commission and Payment
4.1 The Affiliate will earn a commission of 20% on Net Sales generated through their referral links.
4.2 Commissions will be calculated at the end of each month and paid within 30 days of the end of the month in which the sale was made.
4.3 Payments will be made via [Payment Method, e.g., bank transfer, PayPal], subject to the Affiliate providing accurate payment details.
4.4 The minimum payout threshold is [£Amount]. If the Affiliate's earnings do not meet this threshold, the amount will roll over to the next payment period.
5. Taxes
5.1 The Affiliate is responsible for determining their own tax liability as a result of the commissions earned under this Agreement.
5.2 The Affiliate is responsible for paying any and all taxes, including but not limited to income tax, National Insurance contributions, or any other applicable taxes in their jurisdiction.
5.3 The Company will not withhold any taxes on behalf of the Affiliate and will not provide any tax advice or guidance.
6. Term and Termination
6.1 This Agreement will commence on the date the Affiliate accepts the terms and will continue until terminated by either party.
6.2 Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.
6.3 Upon termination, the Affiliate will cease all promotional activities and remove all links and materials related to the Company’s Products.
7. Confidentiality
7.1 The Affiliate agrees to keep confidential any proprietary information provided by the Company, including but not limited to marketing strategies, sales data, and customer information.
8. Limitation of Liability
8.1 The Company will not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement or the Affiliate's participation in the affiliate program.
9. Governing Law
9.1 This Agreement will be governed by and construed in accordance with the laws of England and Wales.
9.2 Any disputes arising out of or in connection with this Agreement will be subject to the exclusive jurisdiction of the courts of England and Wales.
10. Miscellaneous
10.1 This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements or understandings.
10.2 The Company reserves the right to amend this Agreement at any time, with notice provided to the Affiliate via email or through the affiliate portal. Continued participation in
