These Terms and Conditions (“Agreement”) govern participation in the
TechnoRV Influencer Affiliate Program (“Program”) operated by TechnoRV,
LLC (“TechnoRV,” “we,” “us,” or “our”). By applying to and/or participating
in the Program, you (“Affiliate,” “you,” or “your”) agree to be bound by the
following terms. This Agreement establishes the full scope of rights and
obligations between the parties and should be read carefully prior to
enrollment.
1. Eligibility and Enrollment
Participation in the Program is limited to individuals and entities that meet
TechnoRV’s eligibility criteria. You must be at least eighteen (18) years of
age, legally capable of entering into binding contracts, and possess a
platform, channel, or audience relevant to the RV, travel, equestrian, or
outdoor lifestyle space. Acceptance into the Program is determined solely at
TechnoRV’s discretion, and we may refuse or revoke participation at any
time based on business, legal, or reputational considerations. Submission of
an application does not guarantee acceptance.
2. Performance Requirements
To ensure a mutually beneficial relationship, Affiliates are required to meet
specific performance thresholds. When TechnoRV provides products free of
charge for promotional purposes, Affiliates must generate tracked sales
equal to at least ten times (10x) the retail value of the product before
reaching commission eligibility. Alternatively, Affiliates may purchase
products at TechnoRV’s cost, thereby reducing the required return on
investment threshold. Affiliates will be required to add additional content to
reach the 10X requirement if initial content created did not reach the
required 10X threshold. Significant or prolonged sales declines may result in
the suspension of commission payments, modification of commission
structure, or removal from the Program.
3. Trial Period & Evaluation
Affiliates will begin their participation with a thirty (30) day trial period.
During this time, TechnoRV evaluates the Affiliate’s content quality,
engagement with their audience, and demonstrated sales traction.
Continuation beyond this trial period is contingent upon successful
performance and adherence to brand alignment requirements. Affiliates that
successfully complete the trial period with successful results will enter a
longer-term arrangement, subject to ongoing annual reviews. These reviews
allow TechnoRV to verify compliance and assess overall results.
4. Commission & Payment
Upon successful completion of the trial period, commission structures will
be communicated to Affiliates. Commission rates may vary by product
category or promotional campaign and are subject to periodic adjustment
with reasonable notice. No commissions shall be paid on purchases made by
the Affiliate for personal use, fraudulent transactions, cancelled orders, or
refunded sales. Commission payments will be processed monthly provided
that the Affiliate has met the minimum payout threshold of $50. Affiliates are
responsible for ensuring accurate payment information is on file and
acknowledge that TechnoRV is not liable for delays or losses caused by
incorrect account details. Affiliates are solely responsible for all income,
employment, self-employment, and other taxes arising from commissions
received.
5. Content & Brand Standards
Affiliates are expected to uphold TechnoRV’s brand integrity and reputation.
Content created under the Program must be factually accurate, respectful,
and aligned with TechnoRV’s brand values. Exaggerated claims, misleading
statements, or unauthorized pricing and discount promotions are strictly
prohibited. Affiliates must also comply with the Federal Trade Commission
(FTC) endorsement guidelines. At no point may Affiliates represent
themselves as employees, partners, or authorized representatives of
TechnoRV without prior written consent. All content should be professional
in tone and style.
6. Sales Channel Restrictions
To maintain the integrity of TechnoRV’s brand and sales channels, Affiliates
are prohibited from bidding on TechnoRV trademarks, product names, or
variations thereof in paid advertising campaigns. Affiliates may not resell
TechnoRV products on third-party platforms such as Amazon, eBay, or
Facebook Marketplace without written consent. Affiliates are further
restricted from distributing promotional codes through coupon or discount
websites without prior approval. Any violation of these restrictions
constitutes grounds for immediate termination.
7. Content Usage Rights
The Affiliate retains ownership of all content created under the Program.
Affiliate grants TechnoRV a non-exclusive, royalty-free license to repost such
content on TechnoRV’s official social media channels, with appropriate
attribution to the Affiliate. Any other use of Affiliate content, including but
not limited to paid advertising, email campaigns, or print materials, shall
require the Affiliate’s prior written consent.
8. Cross-Promotion Expectations
Affiliates are encouraged to foster mutual growth through cross-promotion
activities. This may include tagging TechnoRV’s official accounts in posts or
reposting TechnoRV-provided content.
9. Termination & Compliance
TechnoRV reserves the right to suspend or terminate any Affiliate’s
participation immediately in cases of non-compliance, fraudulent activity,
reputational harm, or significant underperformance. Upon termination, the
Affiliate must immediately cease use of TechnoRV’s intellectual property,
promotional materials, and any claims of association with TechnoRV.
Termination shall not relieve the Affiliate of obligations that by their nature
extend beyond termination, such as confidentiality and indemnification.
Either party may terminate this Agreement, with or without cause, by
providing at least fourteen (14) days’ written notice to the other party. Upon
termination, Affiliate must immediately discontinue all promotional use of
TechnoRV’s intellectual property, trademarks, and marketing materials.
Termination for convenience shall not relieve either party of obligations
accrued prior to the effective termination date.
10. Intellectual Property
TechnoRV retains all rights, title, and interest in its trademarks, logos,
product images, and other intellectual property. Affiliates are granted a
limited, non-exclusive, revocable license to use such materials strictly for the
purposes of promoting TechnoRV products and brands under this Program.
Modification of logos, images, or other intellectual property is prohibited
unless explicitly approved in writing. Unauthorized use beyond the scope of
this license is grounds for immediate termination and may result in legal
action.
11. Confidentiality
During participation in the Program, Affiliates may be granted access to
confidential or proprietary information, including but not limited to business
strategies or unreleased product information. Affiliates agree to maintain
the confidentiality of such information and not disclose it to third parties
without express written consent from TechnoRV. This obligation shall
survive termination of the Agreement.
12. Limitation of Liability
To the maximum extent permitted by law, TechnoRV shall not be liable to
Affiliates for any indirect, incidental, special, consequential, or punitive
damages, including but not limited to lost profits or data, arising from this
Agreement or the Program. TechnoRV’s aggregate liability shall not exceed
the total commissions paid to the Affiliate in the six (6) months preceding
the claim.
13. Indemnification
The Affiliate agrees to indemnify, defend, and hold harmless TechnoRV, its
officers, employees, and agents from and against all claims, damages,
liabilities, costs, and expenses arising out of the Affiliate’s participation in
the Program, including but not limited to breach of this Agreement, violation
of applicable laws, or infringement of third-party rights.
14. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the
laws of the State of Deleware, without regard to conflict of laws principles.
The parties agree to attempt to resolve disputes in good faith through
informal negotiations. If unresolved, disputes shall be submitted to binding
arbitration conducted in Deleware, administered under the rules of the
American Arbitration Association. The decision of the arbitrator shall be
final and binding on both parties.
15. ModificationsTechnoRV reserves the right to modify or update these Terms and
Conditions at any time. Affiliates will be notified of material changes via
email or posting on the Program’s portal. Continued participation in the
Program following such modifications constitutes acceptance of the updated
Agreement.
16. SeverabilityIf any provision of this Agreement is deemed invalid, illegal, or
unenforceable, the remaining provisions shall remain in full force and effect
to the maximum extent permitted by law.
17. Entire AgreementThis Agreement constitutes the entire understanding between the parties
with respect to the subject matter herein and supersedes all prior or
contemporaneous agreements, whether written or oral. No other promises
or agreements shall be binding unless in writing and signed by both parties.
